The fifty-first annual meeting of the stockholders of the
Atlantic and North Carolina Railroad Company was held at
the company's offices in New Bern, N. C, on September 28,
1905. The meeting was called to order by President J. W.
Grainger nominating J. E. Robinson as temporary chairman,
and C. L. Stevens and W. L. Arendell as secretaries.
The Proxy Committee submitted the following report
which was read and adopted:

A majority of the stock being represented and twelve
stockholders being present, the meeting was declared organ-ized
and the temporary organization made permanent.
President J. W. Grainger read his report, which was
adopted. The reading of the reports of the other officers, on
motion, was dispensed with. The following directors were
elected on the part of the stockholders: E. C. Duncan, of Car-teret
county; Dempsey Wood, of Lenoir county; C. E. Foy.
of Craven county; Henry Weil, of Wayne county. T. D. War-ren,
State's Proxy, announced the following directors on the

On motion of T. D. Warren, the by-laws were amended so
as to make the Finance Committee eight instead of five, six
of whom are to be elected by the stockholders and two by the
Board of Directors.
On motion of C. E. Foy, the following were elected as
Finance Committee on the part of the stockholders: George
H. Roberts, T. A. Greene, J. A. Meadows, W. L. Kennedy, R.
W. Taylor and L. Harvey.
The following were elected as Proxy Committee: L. G.
Daniels, H. R. Bryan, Jr., D. Oettinger, J. C. Parker, Dr. Henry
Tull, S. Wooten, and W. L. Arendell.
C: E. Foy offered a resolution instructing the directors to
enter suit to annul the lease of the A. & N. C. R. R. to the A.
& N. C. Company.
On motion of E. C. Duncan the resolution was tabled;
1121 voted to table, 231 not to table, Pamlico not voting.
On motion of T. D. Warren the president's salary was in-creased
from $100 to $200 per annum.
On motion the meeting adjourned.

The Board of Directors of the Atlantic and North Caro-lina
Railroad Company met in regular session in the city of
New Bern, N. C, on Thursday afternoon, September 28, 1905,
at 2 o'clock. President J. W. Grainger, of Kinston, N. C, was
in the chair, and the following directors were present: J. W.
Grainger, L. P. Tapp, W. D. Creech, W. S. Chadwick, C. T.
Watson, W. H. Bagley, D. B. Hooker, Henry Weil, E. C. Dun-can,
C. E. Foy, and Dempsey Wood.
On motion J. W. Grainger, of Lenoir county, was elected
president for the ensuing year. D. J. Broadhurst, of Wayne
county, was elected secretary and treasurer, at a salary of
$300 a year. H. B. Holland, of New Bern, N. C, was elected
expert and auditor at a salary of $100 as expert, and $200 as
auditor. Col. P. M. Pearsall was elected attorney for the road
at a salary of $100. Col. A. C. Davis, of Goldsboro, and Geo.
W. Sumrell, of Kinston, were elected members of the Finance
Committee. The pay of the Directors was fixed at $10.00 per
day. A motion was passed appointing Henry Weil, W. S. Chad-wick,
and L. P. Tapp a committee to investigate the question
of extra allowances to the secretary and treasurer. On mo-tion
C. T. Watson was added to the committee on office build-ing.
The treasurer's bond was fixed at thirty thousand

($30,000) dollars, the premiums upon the same to be paid
from funds in hand belonging to the A. & N. C. R. R. Co.
The following resolution was offered by W. H. Bagley,
and unanimously adopted, to-wit:
Resolved, That the president of the A. & N. C. R. R. Co.
request the management of the A. & N. C. Co. to furnish an-nual
passes to the State Proxy and to all other officers ap-pointed
by the directors and stockholders of the A. & N. C.
R. R. Co.
C. E. Foy introduced the following resolution, which he
stated at the time was offered at the request of W. F. Hill:
Resolved, By the president and directors of the Atlantic
and North Carolina Railroad Company in regular meeting as-sembled,
that an action be immediately instituted against the
Atlantic and North Carolina Company, formerly the Howland
Improvement Company, to annul the lease made to the said
Howland Improvement Company by the Atlantic and North
Carolina Railroad Company, and to recover possession of all
the property, improvements, rights and franchises, which said
lease purports to transfer; and the attorney for this company
be and is hereby instructed and directed to institute an action
for said purpose immediately.
On motion of E. C. Duncan the above resolution offered
by C. E. Foy was tabled.
On motion the board adjourned.

PRESIDENTS REPORT.
New Bern, N. C, Sept. 28, 1906.
To the Stockholders of the Atlantic and North Carolina R.
R. Co.;
Gentlemen:—We submit herewith the annual report of
your company for the fiscal year ending the 31st day of August,
1905, which was the first year under the lease of your road.
The fiscal year under the lease began September 1st, 1904,
that being the date when the lease of your property was ex-ecuted
to the Howland Improvement Company. However the
period between the 30th of June and August 31st, 1904, under
the management and operation of President Bryan's adminis-tration,
and not included in his report, before your road was
leased, has been brought forward and all items fully accounted
for in auditor's and treasurer's reports.
When we took charge of the affairs pf your company we
found a large volume of unsettled business—more than was
anticipated. Many claims and suits were pending against the
road, running back for years. The item of suits alone aggre-gated
ore hundred and fifty-five thousand five hundred seventy-nine
dollars and forty cents ($155,579.40), the larger part of
which has been compromised and settled. We found more
than 2,000 unsettled claims (of all sorts and sizes) outstand-ing
against the road ; a great majority of which have also been
adjusted and cancelled. Many of these suits and claims were .
in a complicated condition, requiring much work and time for
their adjustment. There are still pending two or three suits
of some consequence, and quite a number of claims yet un-settled,
which are being adjusted as rapidly as well can be
done. The large number of suits and claims accounts largely
for the seemingly extraordinary amount of attorney's fees.
Besides these suits that were pending arising out of the opera-tion
of the road, came up the well-known Cuyler suit in the
Federal Court. In this case the attorney's fees and the court
costs amounted to about $2,500, which we have paid.
That clause in the lease to the Howland Improvement
Company, lessee of your road, reads as follows, "from Septem-ber
1st, 1904, to December 31st, 1904, the sum of thirteen
thousand four hucdred seventy-nine dollars ($13,479.00),
which shall be paid on or before the 1st day of February, 1905,
and twenty-six thousand nine hundred fifty-eight dollars ($26,-
958.00) on the 1st day of July, 1905" od rental. These
amounts were paid by the Howland Improvement Company
when they became due, and your directors ordered these respec-

tive payments disbursed in dividends to the stockholders of
your company . And the lessee has also paid into the hands of
your treasurer, as per contract under the lease, the interest
accruing on the bended debt of the Atlantic and North Car-olina
Railroad. And for the faithful payment of all rents,
taxes, and other obligations assumed by the Howland Improve-ment
Company, lessees of your road, they are under contract in
the lease to deposit a sum amounting to $100,000 in United
States bonds or bonds of the State of North Carolina or other
securities, acceptable to the directors of your company. This
deposit has been made by the lessee in six per cent coupon
bonds of the Stato of North Carolina, maturing April, 1919,
placed in the Wachovia Loan and Trust Company, of Winston-
Salem, N. C.

are invited to examine the detailed report of the expert exam-iner
of your road, which report is herewith attached.
I trust that you will examine the reports of the officers
of your company and familiarize yourselves with all receipts
and disbursements of moneys and all other matters of interest
connected with the management of the affairs of your com-pany.

Gentlemen:—We have to report that we have made the
examination of the Atlantic and North Carolina Railroad, from
Goldsboro to Morehead.
We find the road to be very much improved since the date
of lease. All bridges and waterways have undergone repairs,
and preparations are being to further improve and strengthen
bridges and trestles. The bridge across Neuse River, near Kin-ston,
is to be replaced by a heavier steel structure. Contract
has been let for and immediate work is to be begun on a bridge
from Morehead City to Beaufort. This will extend line to
latter place. There have been 45,467 new cross ties put in
road, 10,040 feet of new siding constructed, one new water
station erected at Falling Creek, six new passenger coaches
purchased, three new express cars, one hundred and ten box
cars, ten flat cars, ten gondolas, seven new log cars; seven
condemned tubular cars have been rebuilt. Locomotive No. 9
has been rebuilt with new boiler. Repairs on all locomotives
and rolling stock have been kept up to standard. All locomo-tives
have been changed from wood to coal burners, greatly
improving the service. There have been distributed and laid
about 16 miles of new 60-lb steel rail. The improvement along
the entire line is marked, and there are evidences of much
greater and more substantial betterments for the coming year.

Gentlemen: We, the undersigned experts, appointed on
the part of the Howland Improvement Company, Lessee, and
the Atlantic and North Carolina Railroad Company, to take
a complete inventory of the rolling stock, equipment, stations,
depots, tools, and all other property belonging to the Atlantic
and North Carolina Railroad Company, and leased to the How-land
Improvement Company, September 1, 1904, herewith sub-mit
our report, as follows:
TRACK: Ninety-five miles of main line, of which we find
81% miles of 50-lb steel with one angle plate and one fish bar;
8 miles of 5 6-tb rail with one angle plate and one fish bar to
each joint; 6% miles of 60-Ib rail with two angle plates to
each joint; condition of rail, fair. Sidetracks about 1-3%
miles (for exact measurement, see blueprints to be filed as
supplementary report.)
TELEGRAPH LINE: Ninety-five miles, one wire, in fair
condition; about one-third of the poles need renewing.
TIES: The road is laid with pine ties, of which 35 per
cent are good and sound, 35 per cent in fair condition, and
30 per cent very poor.
BRIDGES AND TRESTLES: We find IS bridges and
trestles, the condition of which is barely fair and a majority
of which will need repairs at an early date. (Fordetailed de-scription
of length of bridges and waterways, see blueprints
to be filed as supplementary report.)
SMALL OPENINGS IN TRxlCK: We find 147 small
openings in track, the condition of which is the same as the
bridges.
ROADBED: The roadbed, generally speaking, is in good
condition.
MISCELLANEOUS: For condition of cars, equipment,
buildings, etc., see itemized inventory giving the valuation of
each. For location of buildings and sidings, see blueprints
filed as supplementary report.
