Twenty-Seventh Annual Meeting of the Stockholders of
the North Carolina Railroad Company.

Raleigh, N. C, July 13, 1876.
The stockholders of the North Carolina Railroad Company
convened in the Hall of the House of Representatives, this day,
at 11 o'clock a.m., to hold their twenty-seventh annual meeting.
On motion of Hon. W. A. Smith, a temporary organization
was effected by calling to the chair Hon. J. B. Batohelor, J.
M. Horah was requested to act as Secretary, and J. A. McCau-ley,
as Assistant Secretary.
The committee on proxies reported as follows: The num-ber
of stockholders represented in person 12, by proxy 353;
whole number of shares owned by individuals 10,000, whole
number of shares represented in person 735, and by proxy 7,-
350. Total number of shares represented 8,085.
The chair declared that there was a large majority of the
individual stock represented and therefore the meeting was
organized in accordance with the charter and by-laws.
Ou motiou of Hon. W. A. Smith, the temporary organiza-tion
was made permanent.
On motion of Hon. D. F. Caldwell, a committee of three
stockholders were directed to be appointed by the chair to ex-amine
the reports of the officers of the company.
The chair appointed Hon. D. F. Caldwell, W. W. Fife and
John P. Branch.
Rev. G. W. Welker presented his credentials as State
proxy, which were received.
PROCEEDINGS OF THE STOCKHOLDERS
Hon. W. A. Smith, President of the company, read his an-nual
report.
On motion of Hon. D. F. Caldwell, the President's report
and the reports of the Secretary, Treasurer and Finance Com-mittee
were referred to the committee on reports of officers of
the company.
The committee to whom was referred the reports of the
President, Secretary, Treasurer and Finance Committee report-ed
the same favorably.
The report of the committee was adopted.
On motion of Mb. John P. Bbanch, the meeting proceeded
to the election of four Directors on the part of the individual
stockholders.
The chair appointed Gen. P. B. Hawkins and Co). Thomas
Webb tellers.
The tellers reported the following as the result of the bal-lot,
viz:—T. M. Holt, 7,989; M. L. Holmes, 7,989; H. W. Feies,
7,154; R. B. Haywood, 7,804; Donald MacRae, 980; scattering,
40.
The chair announced that T. M. Holt, M. L. Holmes, R.
B. Haywood and H. W. Fetes were duly elected.
On motion, D. A. Davis, T. B. Keogh and C. G. Yates were
elected on the Committee of Finance.
The chair appointed the following gentlemen a committee
to verify proxies for the next annual meeting to be held in Salis-bury,
viz:—D. A. Davis, Paul N. Heilig and R. J. Holmes.
On motion the meeting adjourned.

When I became president of your Company it was staggering
under a heavy debt.

You will thus see that during my management of your busi-ness,
the debt of the Company has been reduced from nine
hundred and six thousand one hundred and seven dollars and
ninety-one cents, to two hundred and fourteen thousand, two
hundred and fifty seven dollars and thirty-one cents; I have al-so
paid interest upon the debt amounting to two hundred and
ninety four thousand, seven hundred and thirty eight dollars
and thirty three cents. In addition to this, I have paid to the
State on dividends, nine hundred thousand dollars, and to the
private stockholders, three hundred thousand dollars all in cash,
making a grand total of money paid by me in discharge of bond-ed
debt, interest and dividends, amounting to two millions, one,
hundred and eighty six thousand, five hundred and eighty
eight dollars and ninety three cents, all of which came out of
the net earnings of your road.
THE LEASE.
Time has proved the wisdom and foresight of the Board of
Directors who leased the property of this Company to the Rich-mond
& Danville Rail Road Company. You well remember the
unjust criticism made at the time we leased the road, by the
press and individuals, most of whom had no pecuniary interest

in our Company, and who were equally indifferent about our suc-cess
or ruin. Those of us who had the interest of our Company at
heart, and were free from prejudice, could not shut our eyes to
the fact that railroad combinations which we could not prevent,
and the completion of the Carolina Central Kail Road from
Wilmington to Charlotte, would draw from us a large share of
our business and leave us in such a condition that the payment
of dividends in the future would be out of the question. Those
combinations have been made and new railroad connections
have been completed. We can now easily test the accuracy of
our apprehensions. From the report of the Richmond & Dan-ville
Rail Road Company for the year ending September, 1875,
I find that the net earnings of that Company for that year from
the North Carolina Railroad amounted to $183,672.40, being
nearly $80,000 less than the annual rent paid us by that Com-pany
under the lease.
SECURITIES AND CONDITION OF THE ROAD.
The road-bed, superstructure and other property leased by
us is in as good condition now as when leased, as appears by
the report of experts, Wm. Murdock, Esq., and Col. Thos. J.
Sumner. They report that it will require about twelve miles of
new rails during the present year to put the road in first-class
order.
The securities deposited by the Richmond & Danville Rail
Road Company under the lease, are considered ample, and suf-ficient
to cover any deficiency which may possibly arise.
THE CONSTRUCTION BONDS.
At your last annual meeting a resolution was adopted authori-sing
the Board of Directors to purchase bonds commonly known
as bonds issued by the State to aid in the construction of the
North Carolina Rail Road. No such bonds have been bought
for the reason that none have been offered in amounts sufficient
to justify the Board in making the purchase.

Gentlemen.—I herewith submit to you the annual report
of the financial condition of the North Carolina Rail Road Com-pany
for the fiscal year ending the 31st day of May, 1876.

During the fiscal year, the receipts from all sources have been
$271,098 70, and the amount paid out on expenses, bonds and
other liabilities of the Company, $336,461 48, which will be
fully set forth in the accompanying tables.

The debt of the Company reported and entered on the books
of the Company on the 31st day of May, 1875, as shown by the
books of the Secretary was $440^366 73, to which add $41,252 69
of old debts not reported and entered on the books of the Com-pany,
but which have been paid during the year. We have the
total debt of the Company on the 31st day of May, 1875,
$481,619 42, of which amount there has beeu"paid during the
year, $48,323 70, leaving the debt of the Company as shown
by the books of the Secretary on the 31st day "of 'Mav, 1876,
$433,295 72, which may be reduced by assets $219,038 41, leav-ing
a balance to be paid of $214,257 31.
The general exibits of the business of the Compauy for the
fiscal year shows a decrease of the debt of the Cornpanv of
$7,071 01.
The total bonded debt of the Company under mortgage is
$376,500 00, of which $166,500 00 is in 'ten year bonds and
$210,000 00 is in twenty year bonds.
There remains unpaid of the loan of March 1st, 1857 $38,-
000 00. The Company ha'? paid during the fiscal year $500 00
of these bonds.

The usual duties of the Committee of Finance have been
performed during the past year, as required by the By-laws.
The Treasurer's account has been examined at our several bi-monthly
meetings and always found correct, and neatly kept and
all charges supported by proper vouchers.
The amount of Bonds issued in 1857 and maturing in 1807, is
$38,000, bearing interest at 8 per cent, per annum.
Amount of ten year bonds now unpaid is $160,500. This
class of bonds fall due in 1877. Amount of twenty year bonds
that will fall due November 1st, 1888, now unpaid is $2100,00.
We find in the hands of N. H. D. Wilson, who succeeded Win.
