C. Railroad Co. The Twenty-fifth Annual Meeting of the Stockholders of the Atlantic & North Carolina Rail Road Co., pursuant to the call of the Board of Directors, was held at the Seminary Building, Beaufort, Thursday, June 26th, 1879. Temporary organization was effected by calling John D. Davis, of Carteret, t<> the Chair and Clement Manly, of Newbern, was elected Secretary. The Committee to verify proxies not being ready to report, a recess was taken for two hours. At 3 o'clock, P, M., the Chairman called the meeting. The Committee on proxies having announced itself as prepared, a report was made through their Chairman, H. R. Bryan, Esq., that "there is represented in person and by proxy, 17.090 shares of stock; 12.G66 shares belonging to the State, and 4424 shares to other corporations and individuals. A majority of the stock being present the Chairman stated that the meeting was ready for business. The State of North Carolina was represented by F. M. Simmons, Esq., of Goldsboro, N. C. • On motion of Chas. C. Clark, Esq., the organization was regu-larly effected by making the officers pro tern, permanent. On motion, H. C. Pool, of Craven, J. A. Bonitz, of the Golds-boro Messenger, J. W. Harper, of the Kinston Journal, and Seth M. Carpenter, of the Newbernian, were made assistant Secretaries. It being called for, President Hughes read his report, (a copy of which is annexed.) i On motion of John C. Washington, Esq., the report of the President was received and adopted, and five hundred copies ordered to be printed. J. M. Wooten, of Lenoir, offered the following resolution : Whereas, The State of North Carolina has inaugurated a policy of economy and retrenchment in the salaries of her public officers, therefore be it Resolved, That the By-Laws of this Company be amended as follows : 1st. That the salary of the President be reduced to $1500 per annum. ) | "CO 2nd. That the salary of the Secretary and Treasurer be reduced to $1200 per annum. At the request of Captain Oaksmith, of Carteret, action upon this resolution was deferred until "after the routine business." John L. Morehead read the report of the Committee on Finance, (a copy of which is annexed.) Judge C. K. Thomas moved that this "report be received and laid on the table for further action." Some difference arose whether receiving the report necessitated printing it as it then read. Chas. C. Clark, Esq., moved that the report be printed, and thought such action necessarily followed an adoption of the motion of Judge Thomas. James A. Bryan, of Craven, objected to having the report printed as it then stood. Maj. Hughes thought it should be printed. J. C. Washington agreed with Maj. Hughes. A. G. Hubbard, Esq.. of Newbern, desired that the report be printed as other reports. The original motion was then adopted. Maj. John Hughes offered the report of Jos. Fulford, Book-keeper. Printed reports of Basil Manly, Master Machinist, and of J. J. Roberson, Road Master, (copies of which are annexed) were dis-tributed among the Stockholders. J. M. Wooten moved that these reports be received. The motion was carried. M. DeW. Stevenson, Esq., thought it unnecessary to make motions to print each report offered, and moved instead, "that when this meeting adjourn its proceedings be printed." Motion adopted. Judge Thomas suggested that the meeting proceed to elect four Directors on the part of the private stockholders. The Chair said it was first in order for some one to announce the Directors appoint-ed by the State. F. M. Simmons then read the following as the eight State Directors: Col. John D. Whitford and Chas. 0. Clark, Esq., of Craven. Council S. Wooten and Jacob F. Parrott, of Lenoir. Jas. C. Davis and Levi T. Oglesby, of Carteret. Col. Paul F. Faison, of Wake. H. F. Grainger, Esq., of Wayne. The meeting then went into an election of the four Directors on the part of the private stockholders. The Chair appointed F. C. Roberts, Esq,, of Newbern, and W. F. Howland, of Carteret, tellers. The result of the first ballot was announced by F. C. Roberts, as follows : James A. Bryan, of Newbern, received 1720 votes. John C. Wooten, of Lenoir, " 1720 " Eugene Morehead, of Durham, " 1719 " C. R. Thomas, of Newbern, " 1714 " W. T. Caho, of Pamlico, " 6 " James A. Bryan, John 0. Wooten, Eugene Morehead and C. R. Thomas having received a majority of the votes present and cast, were declared by the Chair duly elected. Upon motion of Maj. Hughes, the meeting then proceeded to an election of three members of the Finance Committee on part of the private stock. The result of the first ballot was announced by F. C. Roberts, as follows J. J. Wolfenden, of Newbern, received John L. Morehead, of Guilford, " Samuel W.Latham, of Craven, " William Sawyer, of Pamlico, " M. DeW. Stevenson, of Newbern, " Alexander Nicol, of Lenoir, " J. J. Wolfenden, John L. Morehead and Sam'l. W. Latham hav-ing received a majority of the voles present, were declared by the Chair duly elected. Mr. James M. Wooten here called up his resolution to reduce salaries. F. M. Simmons, Esq., moved to amend by inserting $2000 in-stead of $1500 in the resolution, saying the State would vote for the resolution thus amended. M, DeW. Stevenson addressed the meeting in opposition to the resolution, and favoring the amendment of Mr. Simmons. Mr. J. M. Wooten advocated strongly the reduction of salary, saying his County demanded it. Mr. E. H. Meadows, of Craven, moved that the amendment of Mr. Simmons be amended to read $1800 for President, and $1200 for Secretary and Treasurer. Mr. Simmons accepted the amendment. Mr. Wooten then accepted the amendment thus amended. The resolution of Mr. J. M. Wooten, with the amendment as ottered by Mr. Meadows, was then adopted by unanimous vote. 1486 votes. 1463 « 1463 (t 643 « 643 {( 643 a 6 Mr. John L. Morehead offered the following resolution : Resolved, That the Stockholders of the Atlantic and North Carolina Rail Road, in general meeting assembled, do hereby express their desire that the Road should become a part of a connected line of Railway, from the Ten-nessee line to Beaufort Harbor, and that there should be established first class Steamship lines, both at Morehead City and Newbern, and the Board of Directors of the Atlantic and North Carolina Rail Road Company are hereby authorized and requested, at as early a day as practicable, to secure the establishment of such a North Carolina policy upon such terms as in their best judgment will inure to the benefit of the Atlantic and North Carolina Rail Road. Adopted unanimously. John L. Morehead offered the following resolution : Resolved, That the practice of Directors of the Atlantic and N. C. Rail Road Company, giving free passes over the Road, is highly censurable, and is an unwarrantable assumption of authority on the part of those who give them, and that all Conductors be required to disregard such passes, and that in default of so doing, they be held accountable to the Company for the fares of all such as travel on the Road on such passes, and that the amount of the same be deducted from their wages, and that a copy of this resolution be placed in a conspicuous place in each passenger coach. John C. Washington thought the Directors ought to he held responsible and not allowed to make "scape goats" of the Con-ductors, and moved so to amend. Amendment withdrawn with the understanding that a resolu-tion to that effect would he introduced. Resolution of Mr. More-head was then adopted. R. W. King, of Lenoir, moved that the next annual meeting of the Stockholders be held at Kinston. John L. Morehead moved to strike out Kinston and insert Beaufort. The amendment was adopted. The motion of Mr. King, as amended by Mr. Morehead, was carried. A. G. Hubbard introduced the following resolution : Resolved. That the Attorney of this Company be furnished with a list of the free passes given within the last three years to travelers over the Atlantic and North Carolina Rail Road, other than those given by the President, and that he report to the Board of Directors at as early a day as practicable, his legal opinion, whether the persons who gave such passes are not liable to this Company for the passes of those whom they have thus passed. Resolution adopted without dissent. The Chair announced the Committee to verify proxies for the ensuing year: H. C. Pool, E, H. Meadows and W. F. Howland. Chas. C. Clark, Esq., here moved that the thanks of the meet-ing be given to the officers, who had courteously and effectively discharged their duties. The motion was put before the house by Mr. Clark and carried. Mr. King moved that five hundred copies of the proceedings of this meeting, including the reports introduced, be printed. Motion carried. President's Report. :o: To the Stockholders of the Atlantic and N. C. Bail Road: Gentlemen:—In giving account of our stewardship, we the President and Board of Directors take pleasure in saying that we return into your keeping the property of the Company, of which you gave us charge two years ago, in a much improved condition, aud we can say, without boasting, that the Atlantic and North Carolina Rail Road stands to-day in its road-bed, rolling-stock and general appointments equal to the best State work in North Carolina, and is prepared safely to transport passengers with ease and comfort in handsome coaches, with excellent locomotive engines. It is also prepared to do a large freight business. It is well known that the late contracts made by this Company with the Old Dominion Steamship Company, the Wilmington and Weldon Rail Road Company and the Raleigh, and Gaston Rail Road Company, known as the "Combination," were entered into by us, not from choice, but from necessity, and were never intended to be carried out as the permanent policy of the Com-pany. It was a temporary expedient adopted to give to the Company what it so much needed, and without which absolute ruin, both physical and financial, seemed inevitable, viz.: rest and revenue. These two apparently incompatible things, rest and revenue at the same time, could not be obtained without some such advantages as the contracts offered. For, ordinarily, in-creased revenue could only result from additional work; while, increased rest would be inevitably followed by diminished revenue, and the condition of the Road and its equipment was such that even the little work that was then being done involved grave risk to life and property. Now, however, that the recuperation sought for has been accomplished aud the results hoped for obtained, the contracts have been rescinded and the Road is ready to carry out the purposes contemplated by its original projectors. Whether or not this can be accomplished the future must determine. One thing is very certain, the Company cannot continue to exist except in one or other of two ways. One is by subsidy, the other by making such arrangements with other connecting Roads and Steamship lines as will secure for it a just and equitable propor-tion of that character or traffic which is known as "through busi-ness." This latter arrangement will give to our Road a large amount of tonage and should bring revenue—it will develop and open our sea-ports and gladden the hearts of all true North Caro-linians. But we have many and grave difficulties to contend with. ' Our Road has never received the hearty patronage of the people of the State at large. We must endeavor to cultivate a more thorough North Carolina sentiment. In order to build up our material interests our people must be willing to suffer tempo-rary inconvenience, if necessary, to reach the permanent good that we all hope for so sincerely. It does certainly seem to be a strange thing that it is necessary to urge upon North Carolinians that their first duty is to North Carolina and her interests, but strange as it is, it is still true. Here we have a good Road handsomely equipped and ready for business, being the shortest outlet by many miles to the sea, with two excellent sea-ports, Morehead City and Newbern, the former with a harbor spacious enough to hold in its ample bosom the navies of the civilized world; the latter with many and unusual facilities for rapid and safe inland as well as ocean navigation to Northern and Eastern points; and yet, although for twenty years they have been inviting the people of the State, through this Company, to use what nature has so bountifully bestowed, they are left almost as devoid of commerce as the top of the Blue Ridge. For all practical uses, we might almost as well have "a painted ship upon a painted ocean." This must all be changed. The late "Combination" has called forth a large amount of discussion on this subject ; our newspapers and people have published and talked much about a North Carolina policy for North Carolina, and if it has succeeded in vivifying a sentiment which has been so long dormant, then the "Combina-tion" will have borne fruit which will prove to all people that it has not existed in vain. The great improvement in the condition of the Road has been attended with heavy and unusual expense, but it was an expense that had to be incurred to make the Road efficient, useful and safe. Within the time that we have had charge, we have put into the Road-bed about 126,000 cross-ties. These new ties constitute more than one-half of the entire number in the whole length of the Road. We have now along the line of the Road 2,500 cords of wood, estimated to be a year's supply. We have put in many steel rails, repaired and built bridges, wharves, &c, at a total cost for the last fiscal year of $38,045.92. 10 For further particulars on this subject we refer to the able and full report of your very efficient Road Master, Capt. J. J. Roberson. By reference to the very clear, concise and business-like report of your Master Machinist, Mr. Basil Manly, (than whom we know no more competent man in his avocation in the State) you will see that the rolling stock is also in admirable condition. Loco-motives have been re-built and repaired, passenger coaches re-newed and painted, freight cars in good running order, and a large amount of material on hand. But all this necessary work and material have caused a large expenditure of money in the last year, to-wit: 120,571.15. We have anticipated the payment of part of the interest on the bonded debt due in July next by taking up $5,000 of the coupons, and hope that the receipts for the current month and balances due by the different officers of the Company and connecting Roads will enable our successors, without inconvenience, to meet the balance of the interest then due, together with the small float-ing debt which necessarily exists. The whole amount of the bonded and judgment debt of the Company is as follows : $195,500 of bond?, bearing 8 per cent, interest; $37,474 of judgment, bearing per cent, interest; total, $2o'-2,074. In compromising the suit to enforce payment of the bonds, we obtained terms from the bondholders as follows: They surren-dered $4,000 bonds and $0,000 interest. The original mortgage securing the payment of the bonds, provided that in case of de-fault inpayment of interest on the bonds for three months, the whole debt should become due and the Trustees should sell the Road and all its property. This time has been now by the terms of our compromise ex-tended to nine months—just three times as much grace as was allowed by the original contract. On the judgment which is for accrued interest, upon which no grace was provided originally, we have now three months before any execution can issue, which is the same time that was stipulated in the mortgage to elapse before any sale could bike place for default in payment of interest on principal. We found a claim existing and insisted upon by the Government of the United States against this Company un-taxes due in 1SGG, amounting to about $10,000, which we could not successfully resist. This was subsequently, by compromise, reduced to $0,500, but the Government added on fines, penalties and interest that ran it up to nearly $12,000. We then, after a long negotiation succeeded in getting it again reduced to $0,500 11 with right to pay it off' at the rate of $500 per month. This pay-ment we began last October and have paid $4,000, leaving a balance of $2,500 still to be paid. Thus in these two items of interest and taxes we have paid the sum of $9,000 in cash in the last year. It is unusual thus to anticipate payment of interest, but we secured a discount for ad-vance payment of 5 per cent., and having the money on hand we paid it, thus saving to the Company $250. The United States Government tax is an unusual expense, and it comes very hard upon the Company to have to pay it at this time when all our money has been required for other purposes. But still it has been done and we did not borrow any money to do it with. We also found a large number of suits pending against the Company, for damages and penalties by reason of the fact that those who had preceded us had not complied with the law in putting in a draw-bridge at Newport. These claims amounted in the aggregate to about $100,000. We succeeded in getting through the recent Legislature a bill repealing the one creating the penalties; we put in the draw at an expense of several hundred dollars and then compromised the suits by paying $400; all this was an extraordinary and unusual expense, which the Company will never probably be called upon to incur again. We also had recently presented to us an old bill of Whitney & Son for car wheels, purchased by a previous administration amounting to nearly $1,000, which we compromised and settled for $200. There are various other matters in this connection which would certainly be wearisome to you and perhaps unnecessary to enumerate. The earnings of the Company have been satisfactory, and as large as could have hpen expected, under the circumstances. For further particulars on this subject we refer to the reports of the Book Keeper, Treasurer, and the Finance Committee. The revenue, however, has fallen off" considerably in the last three months in consequence of the fact that by the abrogation of the contracts on the 1st day of April, we have not received any bonus since that time. And the channels of trade have not yet been sufficiently changed to give us the through business which we had a right to expect. We consider the franchises, Road and property of the Company worth to-day $100,000 more than when we took charge of it. Its stock, we are glad to say, has appreciated in market value 75 to 12 100 per cent., and we sincerely hope that with judicious manage-ment on the part of our successors in office, the future may be as bright for the Company as its present is promising, and that it may be preserved to the State and the Stockholders. Co.: SlR:—T would respectfully submit the following report of special work done in the Road Department during the fiscal year ending May 31st, 1879: Morehead City embankment has been put in better condition than it ever was before since the road was built. There has been (25,000) twen ty-five thousand old cross-ties and at least 10,000 cubic yards of dirt put in it. This makes the embankments perfectly safe and with very little attention will remain in such condition for years. Trent River embankments have both been made secure by the same mode as Morehead City embankment, which was done by rip-rapping with old cross-ties; in these embankments have put (3,000) old cross-ties and (5,000) cubic yards of dirt. These embankments have been put in as good condition as could be done, which renders them safe in every par-ticular. Newbern Wharf, a greater part of which is composed of dirt, has been almost entirely rebuilt ; have put in 2,000 old ties and 6,000 cubic yards of dirt. This Wharf is in better condition than it was the day it was first turned over to the Company. It is twice the size now it formerly was. Hancock Street Depot Grounds at Newbern Station, Railroad Street at Kinston, Railroad Street at LaGrange, and Centre Street of G-oldsboro, have all been filled in with dirt, so that the track can be erossed without the slightest inconvenience at any point on the work. This is something which has never been done before since the road was built. This work has been performed with the construction train while gravel-ing the road, cleaning out cuts, ditches, hauling timber for bridges, tres-sels, wood, cross-ties, railroad line freights, &c. , and trimming out the Roadway fifty feet on each side of the track forty miles. No trimming has been done on the road before since the road was built. The clearing out of the Roadway is important and should be continued the entire length of the Road. Stony Creek Rridge has been put in good order and is very strong and safe, (good for many years. ) Rear Creek Rridge has been entirely overhauled and is perfectly safe. Falling Creek Rridge has been re-built with new timbers, and is very substantial. Neuse River Bridge has been thoroughly overhauled and is in good condition. Southwest Bridge has been overhauled and is in good condition. Cabin Branch Bridge has been overhauled and is in good condition. Core Creek Bridge has been overhauled and is in good condition. _ Batchelor Creek Bridge has been overhauled and is in good condition. Red Hill Bridge was recently built. This was formerly a culvert and was subject to wash, and a tremendous wash did compel the building of a (50) fifty feet new bridge and is now safe. Jack Smith's Creek Bridge has been overhauled and is in good order. Trent River Bridge which is 1,850 feet in length, has been entirely over-hauled and is kept in good condition. Scott's Creek Bridge has been overhauled and is perfectly safe. Bulling' s Branch Bridge, which is a new one, was formerly an embank-ment, but washed out. Length fifty feet, and is in good condition. Slough Bridge, west of Newport, has been overhauled and is in good condition. Newport River Bridge has been overhauled and new Draw put in and is in good condition. Slocumb's Creek Bridge has been overhauled and is in good condition. Slough Bridge east of Newport, has been overhauled and is in good condition. Hull Swamp Bridge has been overhauled and is in good condition. The extention platform Bridge at Morehead City, has been rebuilt of entirely new timber. This was necessary as it was in a dangerous condi-tion. It is now in good order. The Warehouses, Water Tanks and Platforms are all in good condition. There has been gathered up along the line of the Road one hundred and fifty tons (150) of old iron, which has been shipped North. These Bridges, eighteen in number, measuring over 4,000 running feet, will of course, always require strict attention and more or less work. I would say that all of my subordinates, both officers and laborers, have aided me greatly in this work by the faithful performance of their duty. The Road Bed and Track is being vastly improved by the introduction of new steel rails. Of the Twenty-Fifth Annual Meeting
OF THE
Stockholders of the Atlantic & N. C. Railroad Co.
The Twenty-fifth Annual Meeting of the Stockholders of the
Atlantic & North Carolina Rail Road Co., pursuant to the call of
the Board of Directors, was held at the Seminary Building,
Beaufort, Thursday, June 26th, 1879. Temporary organization
was effected by calling John D. Davis, of Carteret, t<> the Chair
and Clement Manly, of Newbern, was elected Secretary.
The Committee to verify proxies not being ready to report, a
recess was taken for two hours.
At 3 o'clock, P, M., the Chairman called the meeting. The
Committee on proxies having announced itself as prepared, a
report was made through their Chairman, H. R. Bryan, Esq., that
"there is represented in person and by proxy, 17.090 shares of
stock; 12.G66 shares belonging to the State, and 4424 shares to
other corporations and individuals.
A majority of the stock being present the Chairman stated that
the meeting was ready for business. The State of North Carolina
was represented by F. M. Simmons, Esq., of Goldsboro, N. C.
• On motion of Chas. C. Clark, Esq., the organization was regu-larly
effected by making the officers pro tern, permanent.
On motion, H. C. Pool, of Craven, J. A. Bonitz, of the Golds-boro
Messenger, J. W. Harper, of the Kinston Journal, and Seth
M. Carpenter, of the Newbernian, were made assistant Secretaries.
It being called for, President Hughes read his report, (a copy of
which is annexed.) i
On motion of John C. Washington, Esq., the report of the
President was received and adopted, and five hundred copies
ordered to be printed.
J. M. Wooten, of Lenoir, offered the following resolution :
Whereas, The State of North Carolina has inaugurated a policy of economy
and retrenchment in the salaries of her public officers, therefore be it

(a copy of which is annexed.)
Judge C. K. Thomas moved that this "report be received and
laid on the table for further action."
Some difference arose whether receiving the report necessitated
printing it as it then read. Chas. C. Clark, Esq., moved that the
report be printed, and thought such action necessarily followed
an adoption of the motion of Judge Thomas.
James A. Bryan, of Craven, objected to having the report
printed as it then stood. Maj. Hughes thought it should be
printed. J. C. Washington agreed with Maj. Hughes. A. G.
Hubbard, Esq.. of Newbern, desired that the report be printed as
other reports. The original motion was then adopted.
Maj. John Hughes offered the report of Jos. Fulford, Book-keeper.
Printed reports of Basil Manly, Master Machinist, and of J. J.
Roberson, Road Master, (copies of which are annexed) were dis-tributed
among the Stockholders. J. M. Wooten moved that
these reports be received. The motion was carried.
M. DeW. Stevenson, Esq., thought it unnecessary to make
motions to print each report offered, and moved instead, "that
when this meeting adjourn its proceedings be printed." Motion
adopted.
Judge Thomas suggested that the meeting proceed to elect four
Directors on the part of the private stockholders. The Chair said it
was first in order for some one to announce the Directors appoint-ed
by the State. F. M. Simmons then read the following as the
eight State Directors:

resolution, and favoring the amendment of Mr. Simmons.
Mr. J. M. Wooten advocated strongly the reduction of salary,
saying his County demanded it.
Mr. E. H. Meadows, of Craven, moved that the amendment of
Mr. Simmons be amended to read $1800 for President, and $1200
for Secretary and Treasurer.
Mr. Simmons accepted the amendment.
Mr. Wooten then accepted the amendment thus amended.
The resolution of Mr. J. M. Wooten, with the amendment as
ottered by Mr. Meadows, was then adopted by unanimous vote.

Mr. John L. Morehead offered the following resolution :
Resolved, That the Stockholders of the Atlantic and North Carolina Rail
Road, in general meeting assembled, do hereby express their desire that the
Road should become a part of a connected line of Railway, from the Ten-nessee
line to Beaufort Harbor, and that there should be established first class
Steamship lines, both at Morehead City and Newbern, and the Board of
Directors of the Atlantic and North Carolina Rail Road Company are hereby
authorized and requested, at as early a day as practicable, to secure the
establishment of such a North Carolina policy upon such terms as in their
best judgment will inure to the benefit of the Atlantic and North Carolina
Rail Road.
Adopted unanimously.
John L. Morehead offered the following resolution :
Resolved, That the practice of Directors of the Atlantic and N. C. Rail Road
Company, giving free passes over the Road, is highly censurable, and is an
unwarrantable assumption of authority on the part of those who give them,
and that all Conductors be required to disregard such passes, and that in
default of so doing, they be held accountable to the Company for the fares of
all such as travel on the Road on such passes, and that the amount of the same
be deducted from their wages, and that a copy of this resolution be placed in
a conspicuous place in each passenger coach.
John C. Washington thought the Directors ought to he held
responsible and not allowed to make "scape goats" of the Con-ductors,
and moved so to amend.
Amendment withdrawn with the understanding that a resolu-tion
to that effect would he introduced. Resolution of Mr. More-head
was then adopted.
R. W. King, of Lenoir, moved that the next annual meeting of
the Stockholders be held at Kinston.
John L. Morehead moved to strike out Kinston and insert
Beaufort.
The amendment was adopted.
The motion of Mr. King, as amended by Mr. Morehead, was
carried.
A. G. Hubbard introduced the following resolution :
Resolved. That the Attorney of this Company be furnished with a list of the
free passes given within the last three years to travelers over the Atlantic and
North Carolina Rail Road, other than those given by the President, and that
he report to the Board of Directors at as early a day as practicable, his legal
opinion, whether the persons who gave such passes are not liable to this
Company for the passes of those whom they have thus passed.
Resolution adopted without dissent.
The Chair announced the Committee to verify proxies for the
ensuing year:

Chas. C. Clark, Esq., here moved that the thanks of the meet-ing
be given to the officers, who had courteously and effectively
discharged their duties. The motion was put before the house

this meeting, including the reports introduced, be printed.

President's Report.

To the Stockholders of the Atlantic and N. C. Bail Road:
Gentlemen:—In giving account of our stewardship, we the
President and Board of Directors take pleasure in saying that we
return into your keeping the property of the Company, of which
you gave us charge two years ago, in a much improved condition,
aud we can say, without boasting, that the Atlantic and North
Carolina Rail Road stands to-day in its road-bed, rolling-stock
and general appointments equal to the best State work in North
Carolina, and is prepared safely to transport passengers with ease
and comfort in handsome coaches, with excellent locomotive
engines. It is also prepared to do a large freight business.
It is well known that the late contracts made by this Company
with the Old Dominion Steamship Company, the Wilmington
and Weldon Rail Road Company and the Raleigh, and Gaston
Rail Road Company, known as the "Combination," were entered
into by us, not from choice, but from necessity, and were never
intended to be carried out as the permanent policy of the Com-pany.
It was a temporary expedient adopted to give to the
Company what it so much needed, and without which absolute
ruin, both physical and financial, seemed inevitable, viz.: rest and
revenue. These two apparently incompatible things, rest and
revenue at the same time, could not be obtained without some
such advantages as the contracts offered. For, ordinarily, in-creased
revenue could only result from additional work; while,
increased rest would be inevitably followed by diminished revenue,
and the condition of the Road and its equipment was such that
even the little work that was then being done involved grave risk
to life and property. Now, however, that the recuperation sought
for has been accomplished aud the results hoped for obtained, the
contracts have been rescinded and the Road is ready to carry out
the purposes contemplated by its original projectors. Whether or
not this can be accomplished the future must determine. One
thing is very certain, the Company cannot continue to exist
except in one or other of two ways. One is by subsidy, the other
by making such arrangements with other connecting Roads and
Steamship lines as will secure for it a just and equitable propor-tion
of that character or traffic which is known as "through busi-ness."
This latter arrangement will give to our Road a large
amount of tonage and should bring revenue—it will develop and
open our sea-ports and gladden the hearts of all true North Caro-linians.
But we have many and grave difficulties to contend
with. ' Our Road has never received the hearty patronage of the
people of the State at large. We must endeavor to cultivate a
more thorough North Carolina sentiment. In order to build up
our material interests our people must be willing to suffer tempo-rary
inconvenience, if necessary, to reach the permanent good that
we all hope for so sincerely. It does certainly seem to be a strange
thing that it is necessary to urge upon North Carolinians that
their first duty is to North Carolina and her interests, but strange
as it is, it is still true. Here we have a good Road handsomely
equipped and ready for business, being the shortest outlet by
many miles to the sea, with two excellent sea-ports, Morehead
City and Newbern, the former with a harbor spacious enough to
hold in its ample bosom the navies of the civilized world; the
latter with many and unusual facilities for rapid and safe inland
as well as ocean navigation to Northern and Eastern points; and
yet, although for twenty years they have been inviting the people
of the State, through this Company, to use what nature has so
bountifully bestowed, they are left almost as devoid of commerce
as the top of the Blue Ridge. For all practical uses, we might
almost as well have "a painted ship upon a painted ocean." This
must all be changed. The late "Combination" has called forth a
large amount of discussion on this subject ; our newspapers and
people have published and talked much about a North Carolina
policy for North Carolina, and if it has succeeded in vivifying a
sentiment which has been so long dormant, then the "Combina-tion"
will have borne fruit which will prove to all people that it
has not existed in vain.
The great improvement in the condition of the Road has been
attended with heavy and unusual expense, but it was an expense
that had to be incurred to make the Road efficient, useful and
safe. Within the time that we have had charge, we have put into
the Road-bed about 126,000 cross-ties. These new ties constitute
more than one-half of the entire number in the whole length of
the Road. We have now along the line of the Road 2,500 cords
of wood, estimated to be a year's supply. We have put in many
steel rails, repaired and built bridges, wharves, &c, at a total cost
for the last fiscal year of $38,045.92.

For further particulars on this subject we refer to the able and
full report of your very efficient Road Master, Capt. J. J. Roberson.
By reference to the very clear, concise and business-like report
of your Master Machinist, Mr. Basil Manly, (than whom we know
no more competent man in his avocation in the State) you will
see that the rolling stock is also in admirable condition. Loco-motives
have been re-built and repaired, passenger coaches re-newed
and painted, freight cars in good running order, and a
large amount of material on hand. But all this necessary work
and material have caused a large expenditure of money in the last
year, to-wit: 120,571.15.
We have anticipated the payment of part of the interest on the
bonded debt due in July next by taking up $5,000 of the coupons,
and hope that the receipts for the current month and balances
due by the different officers of the Company and connecting
Roads will enable our successors, without inconvenience, to meet
the balance of the interest then due, together with the small float-ing
debt which necessarily exists.
The whole amount of the bonded and judgment debt of the
Company is as follows :
$195,500 of bond?, bearing 8 per cent, interest; $37,474 of
judgment, bearing per cent, interest; total, $2o'-2,074.
In compromising the suit to enforce payment of the bonds, we
obtained terms from the bondholders as follows: They surren-dered
$4,000 bonds and $0,000 interest. The original mortgage
securing the payment of the bonds, provided that in case of de-fault
inpayment of interest on the bonds for three months, the
whole debt should become due and the Trustees should sell the
Road and all its property.
This time has been now by the terms of our compromise ex-tended
to nine months—just three times as much grace as was
allowed by the original contract. On the judgment which is for
accrued interest, upon which no grace was provided originally,
we have now three months before any execution can issue, which
is the same time that was stipulated in the mortgage to elapse
before any sale could bike place for default in payment of interest
on principal. We found a claim existing and insisted upon by
the Government of the United States against this Company un-taxes
due in 1SGG, amounting to about $10,000, which we could
not successfully resist. This was subsequently, by compromise,
reduced to $0,500, but the Government added on fines, penalties
and interest that ran it up to nearly $12,000. We then, after a
long negotiation succeeded in getting it again reduced to $0,500

with right to pay it off' at the rate of $500 per month. This pay-ment
we began last October and have paid $4,000, leaving a
balance of $2,500 still to be paid.
Thus in these two items of interest and taxes we have paid the
sum of $9,000 in cash in the last year. It is unusual thus to
anticipate payment of interest, but we secured a discount for ad-vance
payment of 5 per cent., and having the money on hand we
paid it, thus saving to the Company $250. The United States
Government tax is an unusual expense, and it comes very hard
upon the Company to have to pay it at this time when all our
money has been required for other purposes. But still it has been
done and we did not borrow any money to do it with.
We also found a large number of suits pending against the
Company, for damages and penalties by reason of the fact that
those who had preceded us had not complied with the law in
putting in a draw-bridge at Newport.
These claims amounted in the aggregate to about $100,000.
We succeeded in getting through the recent Legislature a bill
repealing the one creating the penalties; we put in the draw at
an expense of several hundred dollars and then compromised the
suits by paying $400; all this was an extraordinary and unusual
expense, which the Company will never probably be called upon
to incur again.
We also had recently presented to us an old bill of Whitney &
Son for car wheels, purchased by a previous administration
amounting to nearly $1,000, which we compromised and settled
for $200.
There are various other matters in this connection which would
certainly be wearisome to you and perhaps unnecessary to
enumerate.
The earnings of the Company have been satisfactory, and as
large as could have hpen expected, under the circumstances. For
further particulars on this subject we refer to the reports of the
Book Keeper, Treasurer, and the Finance Committee.
The revenue, however, has fallen off" considerably in the last
three months in consequence of the fact that by the abrogation
of the contracts on the 1st day of April, we have not received any
bonus since that time. And the channels of trade have not yet
been sufficiently changed to give us the through business which
we had a right to expect.
We consider the franchises, Road and property of the Company
worth to-day $100,000 more than when we took charge of it. Its
stock, we are glad to say, has appreciated in market value 75 to

100 per cent., and we sincerely hope that with judicious manage-ment
on the part of our successors in office, the future may be as
bright for the Company as its present is promising, and that it
may be preserved to the State and the Stockholders.
