RICHARDSON & SON, GENERAL PRINTERS, 1899. r <J* J OF THE 45th ANNUAL MEETING OF THE STOCKHOLDERS OF THE ATLANTIC & N. C. RAILROAD COMPANY. Morehead City, N. C, September 28th, 1899. The 45th Annual Meeting of the Stockholders of the Atlan-tic and North Carolina Railroad Company is held at Morehead City, N. C, the fourth Thursday in September, 1899, (it being the 28th day cf said month,) and on motion of D. W. Patrick, is temporarily organized by the election of John D. Grimsley as Chairman, D. M. Stanton, Secretary, and George Green, Assistant Secretary. The Proxy Committee through its Chairman, Henry R. Bryan, Jr., report four thousand six hundred and twenty-nine (4,629) shares of stock represented by the following stockholders in person and by proxy, viz : E. C. Duncan 191 shares , D. W. Enssell appointing him as State Proxy, and asks that he be so recognized by the stockholders, and that the State's Stock of 11,666 shares, 350 votes, be added to the above list. H. P. Dortch, Esq., presents a commission from the Board of Internal Improvements appointing him as State Proxy, and asks that he be so recognized. It is thereupon moved by Mr. D. W. Patrick that the Gov-ernor's appointee, Mr. Green, be recognized. Mr. M. DeW. Stevenson moved that Mr. Dortch, the ap-pointee of the Board of Internal Improvements be recognized. A stock vote was called for and taken, H. P. Dortch receiv-ing 886 votes and George Green 160. Mr. Dortch is accordingly recognized, and the State's stock of 12,666 shares, 350 votes is added to the above list. On motion the temporary organization is made permanent. The report of the President, D. W. Patrick, is read and on motion adopted. The report of the Finance Committee is read by its Chair-man, James A. Bryan, Esq., and on motion the same is adopted. On motion of Henry R. Bryan, Jr. the reading of the re-ports of the other officers is dispensed with, and they are adopted as a whole. H. P. Dortch, Esq., announces the following Directors on the part of the State, viz: — James A. Bryan, New Bern, Craven County. J. A. Meadows, New Bern, Craven County. W. M. Webb,. Morehead City, Carteret County. L. Harvey, Kinston, Lenoir County. Samuel C. Suggs, Snow Hill, Greene County. T. C. Whitaker, Trenton, Jones County. Jas. A. Westbrook, Mt. Olive, Wayne County. Louis G. Daniels, Bayboro, Pamlico County. Nominations for Directors on the part of the private stock-holders being declared in order the following are placed in nomi- nation by W. L. Kennedy, viz:—C. E. Foy, Henry Weill, E. C. Duncan and Dempsey Wood. There being no other nominations, on motion the Secretary was instructed to cast the entire vote represented at the meeting for the above named gentlemen. Ten hundred and fifty-three votes are accordingly cast and they are declared duly elected. The following are placed in nomination by W. L. Kennedy as members of the Finance Committee:—T. A. Green, J. B. Jones and Dr. F. W. Hughes. There being no other nominations, on motion the Secretary was instructed to cast the unanimous vote of the meeting for the above named gentlemen. Fourteen hun-dred and three votes are accordingly cast and they are declared duly elected. It is moved by Dempsey Wood and unanimously carried that the Proxy Committee be increased to sixteen. The following are thereupon placed in nomination by Demp-sey Wood as Proxy Committee, viz:—Henry R. Bryan, Jr., C. T. Watson, W. L. Kennedy, W. B. Blades, E. H. Meadows, Geo. N. Ives, S. B. Waters, 0. S. Wallace, N. W. Taylor, J. H. Potter, M. M. Marks, D. Oettinger, Charles Dewey, W. L. Arendell, John Fields, Jr., Geo. Dees. There being no other nominations, on motion the Secretary was instructed to cast the entire vote of the meeting for the above named gentlemen. Fourteen hundred and three votes are accordingly cast for each of the above named persons and they are declared duly elected. The following Resolution is offered by P. M. Pearsall and unanimously adopted, viz: — Resolved, That any five members of the Proxy Committee be and are hereby constituted a quorum for the transaction of business. The following Resolution is offered by James A. Bryan, Esq., and is unanimously adopted, viz:— Resolved, That the thanks of the Stockholders are due, and are hereby tendered Mr. D. W. Patrick for the faithful, efficient and courteous manner in which he has conducted the affairs of the Atlantic & North Carolina Railroad during his administra-tion as President. On motion of Dempsey Wood the next annual meeting of the Stockholders was ordered held at Morehead City, N. C, on the fourth Thursday in September, 1900. C, Sept. 21, 1899. To the Stockholders of the Atlantic & N. C. Railroad Company : Gentlemen:—We have the honor to submit for your considera-tion the 45th Annual report of the condition, operation and financial standing of your road, at the end of the last fiscal year. We completed the siding into The Blades Lumber Companj' plant, on the south side of Trent River near the city of New Bern, and also a siding at Croatan for the Blades Company, both sidings be-ing something near one mile in length at a cost of four thousand dollars, which has proved to be a good investment for this company. We settled the claim of the Richmond Locomotive Works for the shifting locomotive contracted for by Mr. Chadwick, the former president of this company, paying them fifteen hundred dollars or thereabout. We did what we could to get the Richmond Locomotive people to build for this company another locomotive of different structure, but they insisted that they had been put to the trouble of buying material for the shifting locomotive and that the material could not be disposed of without loss to them, and that they were damaged by the annul ing of the contract more than the amount claimed by them. We consulted able counsel in regard to their claim and was ad-vised to settle the matter, which we did. We received on or about the first of last November the locomotive referred to in our 44th annual report from the Baldwin Locomotive Works. The locomotive was fully up to the contract, and has given satisfaction. We purchased twenty-five flat cars at a cost of fifty-three hun-dred and seventy-five dollars, delivered in New Bern. Owing to the extreme wet fall and winter of 1898 and 1899, we were compelled to use a larger quantity of gravel on the road bed than had formerly been used, in consequence of which all the gravel belonging to this company at the Neuse River Bridge near Kinston was consumed. We deemed it necessary to purchase three acres of gravel land which we did at a cost of $100. The business of this company having increased, and not having warerooms sufficient, we purchased one half of the lot formerly oc-cupied by the Stimson Lumber Company, on Neuse River, near this compan3r 's warehouse, for the purpose of enlarging the warerooms of the company, at a cost of $4285, including all costs connected with the purchase, which price, in our opinion, was very cheap. PRESIDENT'S REPORT—Continued. Owing- to lumber and cotton seed being- extensively shipped over the lines of this road, we deemed it necessary to purchase track scales for,the Station at New Bern, which we have erected at a cost of about eight hundred dollars. The present management paid to the stockholders during the month of December, 1898, one per cent dividend, and since the 15th of September, two per cent dividend, making a total of three per cent, since your last annual meeting-. The months of January and February, 1899, were the worst in point of weather for many years, and there was but a small amount of freight passing over the lines, consequently railroads did not make any money for their owners for these months, whereas hereto-fore January and February have been the best paying months in the year for owners of railroad property. It is a source of gratification to call your attention to the reports of the heads of the several departments, which gives in detail, the operations of your property for the last fiscal year and of the condi-tion of the road bed. All of which is respectfully submitted, D. W. Patrick, President. The Committee on Finance submits the following Report. To the Stockholder of the A. & N. C. R. R. Co.: Your Committee attended regularly at the office of the Company and examined in detail the books, accounts and vouchers of the Treasurer for the fiscal year ending- June 30, 1899, and found them neatly and correctly kept, and all disbursements evidenced by ap-proved vouchers. Your Committee finds that the total amount of money that came into the hands of the Treasurer from all sources for the year ending June 30, 1899, was $226,533,37 Cash on hand June 30, 1898 47,781.32 Total to be accounted for $274,314.69 Disbursed for same period 234,336.94 Leaving balance on hand $ 39,977.75 Your Committee finds from the Auditor's statement, that the earnings and expenses of the road for the year ending June 30, 1899, to be as follows: Gross Earnings $187,562.23 Fixed Charges $ 25,486.91 Extraordinary Expenses 26,817.58 Dividends 17,965.00 Operating Expenses 108,521.93 Material Sold 672.83 Balance 8,097.98 $187,562.23 $187,562.23 Note:—To the above profit of $ 8,097.98 There should be added the Dividends paid 17,965.00 Extraordinary Expenses and Permanent Improvements . . . 26,817.58 $52,880.56 Less Material sold 672.83 Thus showing above the cost of operating the Road and taxes a net profit of $52,207.73 All of which is respectfully submitted, Jas. Engines No. 8 and 9 are in fair running order. Engines No. 1 and 2 are yard shifting. We have rebuilt engine and boiler for pile driver for Road Department. Cost of repairs on engines for the 12 months is $3,185.16. Oil, tallow and waste 400.85. Fuel $9,610.65. Wood and water sta-tions 69.29. Engineers, firemen and cleaners $8,375.77. Ma-terial $1,254.01. Total $22,895.72. Passenger Cars: Are in fair condition, one 1st and 2d class car have been fin-ished with wooden partitions required by law and others are in the shops for the same purpose and repainting. Cost for repairs, oil etc., for 12 months $3,359.34. Car clean-ing and inspecting $163.84. Lights $101.43. Total S3, 624. 61. Freight Cars: Are in fair condition. We have overhauled and repainted a number of cars this year. We have 73 platform cars of 40,000 and 45,000 capacity. 17 box cars of 60,000 capacity. 12 box cars of 40,000 capacity. 7 box cars of 24,000 capacity. 12 box cars of 20,000 capacity. 10 box cars of 16,000 capacity. 6 Gondola cars of 20,000 capacity. 30 logging cars of 30,000 capacity. 2 shanty cars. Cost of labor, material for repairs, waste, oil etc., for 12 months $3,408.00. Shops, Building and Machinery: Are in same condition as when I made my last report and should be attended to as soon as possible. While as you will see from foregoing statement, we have had a large amount of permanent improvement work done (mostly by our regular forces) and notwithstanding the very rainy weather of il-msststhe entire period, and the snows and freezes of the seven st winter of the last forty years, we have, by persistent endeavor, kept the bridges and trestles and road bed in fair condition and in mc st respects improved as is apparent by the splendid schedules made by our trains. While we feel to congratulate our department upon these condi-tions, we would still call attention to the need of more work with gravel train, in order that track men may be able to do more durable work. We have been at great disadvantage for want of this service,* as in many places the ditches cannot be cleaned out without train except at great expense, and the track in "cuts" and on muddy sur-faces cannot be kept in good repair without the addition of gravel. The depots and warehouses are in fair condition except the shed for storing guano etc., at New Bern. This structure needs thorough repairs at an early day. Also the carpenter shops to which I called attention in my last report. With these and some other minor ex-ceptions this branch of our department is in good condition—the warehouse at Pier 1, Morehead City, having been recently exten-sively repaired. Our platform capacity has been greatly increased in some cases and thoroughly repaired along the line and mostly in good order. In my last report I recommended the substitution of "split-switches" for the old stub on main line; this request has been par-tially complied with; but I would again call attention to this great necessity wherever change has not been made. We have made special endeavors to get best timber for Bridges and Trestles and have by the assistance and co-operation of accom-modating and enterprising mill men along our line, succeeded well in this particular.
