TO THE STOCKHOLDERS AT THEIR 56th ANNUAL MEETING HELD AT MOREHEAD CITY, N. C. Thursday, August 4th, 1910. PRESIDENT'S REPORT. Stonewall, N. C, Aug. 3, 1910. To the Stockholders of the Atlantic and North Carolina Railroad Company : Gentlemen :—When you met in session a year ago the Norfolk & Southern Railway Company, to whom had been assigned the lease of your railroad and other property, was in the hands of Receivers appointed by the Federal Court. Since that time the causes that led to the appointment of Receivers has been adjusted by the sale of the interest of the Norfolk & Southern Rail-way Company, the outcome of which places your rail-road property in the hands of the Norfolk Southern Railroad Company, a slight change in name but a de-cided difference as to the parties in contrjl. There seems to be a determined purpose on the part of those in charge to live up to the contract made with the original Lessees, the Howland Improvement Company. Three suits for damages for personal injuries have been entered in the Superior Court of Wayne County against your Company since your last annual meeting. I cannot give you a statement of the amounts claimed in said suits for the reason that they have not been called up in open court yet. The Lessees have been notified of said suits as per requirement in contract of Lease, so they can arrange for defending in said suits, they being responsible and not your Company. The deposit made by Lessee to safeguard the inter-est of your Company as per stipulation in Lease, con-sists of Eighty (80) North Carolina construction bonds bearing interest at 6 per cent, per annum and due in 1919, in denominations of One Thousand ($1,000.00) Dollars each, and Two (2) Union Passenger Station, Goldsboro, N. C. gold bonds of Fourteen Thousand (14,000.00) Dollars each, bearing interest at 4£ per cent, per annum, and running twenty-five (25) years, said deposit is with the Wachovia Loan & Trust Company, of Winston-Salem, N. C. The fact that no claim that was outstanding at the time of the execution of the Lease in September, 1904, has come up for adjustment during the past year leads me to conclude that there are but little if any of those old matters unsettled at this late day, six years after the execution of contract of lease. Two dividends of 1| per cent, on the capital stock of your Company have been declared during the past year, one in January last and one in July last. The semi-annual rental has been paid promptly as you will note from the Treasurers report, to which your atten-tion is called, from which you can see how the receipts have been disbursed. Your attention is also called to the report of the Auditor, Finance Committee and Ex-pert employed by your Company. •All of which is respectfully submitted. S. W. FEREBEE, President. J. Broadhurst, Treasurer of said Railroad Company. Gentlemen :—We, the undersigned Experts, ap-pointed on the part of the Lessor and Lessee of the Atlantic & North Carolina Railroad, beg to report that we have made the usual annual inspection of the road-bed and depot buildings, and find the condition of same satisfactory, and up to the requirements as per lease. There is evidence all along the line of the usual amount of work being done to maintain roadbed and buildings up to standard required by terms of lease. Since our last report, the shops at New Bern have been burned and temporary shops have been erected at New Bern. Plans and preparations, we are advised, are under way for the erection at New Bern of perma-nent shops. We found also that foundations were be-ing put in for a new Passenger Station at New Bern, which is much needed at this point. Co. was held in Morehead City on Aug. 4th, 1910. L. H. Cutler, of New Bern, was made Chairman and W. L. Arendell, of Morehead City, Sec-retary. The Proxy Committee reported 4,613 shares of private stock represented by twelve stockholders, to-wit : Dempsy Wood, W. B. Fort, W. L. Arendell, D. J. Broad hurst, S. M. Brinson, W. W. Crawford, W. D. Creech, L. H. Cutler, L. Harvey, L. P. Tapp, L. D. Galley, and E. C. Duncan. The County of Craven by C. E. Foy; the County of Lenoir by Dempsy Wood; the County of Pamlico by A. B. Cooper; and the State of North Carolina by S. W. Ferebee, acting States Proxy. The reading of the reports of the officers was dis-pensed with, as was also the reading of the minutes of last meeting. The State Proxy announced as Directors on the part of the State, the following : G. V. Richardson, L. P. Tapp, W. D. Creech, W. H. Bagley, W. S. Chadwick, A. C. Avery, Jr., S. W. Ferebee, and George W. Sum-rell. The following were placed in nomination for Di-rectors on part of the private stockholders by C. E. Foy, Henry Weil, E. C. Duncan, L. H. Cutler and Demp-sey Wood. There being no other nominations the Sec-retary was instructed to cast 978 votes for them and they were declared elected by the President. On motion of H. R. Bryan, Jr., the Secretary and Treasurer were instructed to keep a record of the pro-ceedings of the annual and special meetings of the Stockholders of the A. & N. C. R. R. Co., in a Book pro- 10 vided for the same, and said Record Book to be brought to the meetings of the stockholders by the Secretary and Treasurer and all such minutes for the last six years to be transcribed in said book. On motion of C. E. Foy the By-Laws were changed reducing the Proxy Committee to six, to be elected by the stockholders^ and further by making the Finance Committee six. Four shall be appointed by the Stockholders and two by the Board of Directors. Mr. E. C. Duncan made some complimentary re-marks about C. E. Foy, the retiring director. On motion of Dempsy Wood, G. H. Roberts, L. Harvey, R. G. Hodges, and George Green were nomi-nated as Finance Committee and the Secretary directed to cast 1,328 votes for the same. They were declared elected. On motion of D. Wood, H. R. Bryan, Jr., D. Oet: tinger, L. G. Daniels, J. F. Hooker, D. B. Hooker and W C. White were nominated as Proxy Committee and the Secretary instructed to cast 1,328 votes for the same.
