C. R. R. Co. Gentlemen: I herewith submit my annual report as President of your Company for the fiscal year ending June 30th, 1914. The semi-annual rental for your property has been paid promptly by the lessee and a dividend of 1 1-2 per cent has been declared both in January and July of this year. I do not think it necessary to go into detail as to the affairs of your Company. A careful perusal of the reports of the Finance Committee and your Treasurer will give you all the information as to the income and the disbursements of the same. The Lessees have on deposit with the Wachovia Loan & Trust Company, of Winston-Salem, N. C, $80,000.00 6 per cent North Carolina bonds due April 1st, 1919, and one first mortgage bond of the Goldsboro Union Station Company for $28,000.00 due August 1st, 1933, for the protection of your interest. Your attention is called to the report of a special committee appointed at your suggestion at the last annual meeting of your Company to confer with the proper officials of the Norfolk-Southern R. R. Co. and see if an amicable agreement could not be reached relative to matters set forth in the reports of your former Presi-dent and Expert, of which I beg to advise have been satisfactorily adjusted. The Lessees have paid all taxes for the year 1913 and all notes and interest due on the purchase price of the Atlantic Hotel with the exception of four notes of $500.00 each, two of which are due and payable January 4th, 1915, and two on January 4th, 1916, and also are carrying $228,200.00 fire insurance for the protection of your property. You will find herewith attached reports of your Auditor and Expert giving in detail matters handled by them. All of which is respectfuly submitted, H. H. GRAINGER, President. SPECIAL COMMITTEE'S REPORT The undersigned Committee, appointed to meet with the Com-mittee of the Norfolk-Southern Railroad, with a view of settling the matters in dispute between the Atlantic & North Carolina Rail-road and the Norfolk-Southern Railroad, met at Kinston on Decem-ber 29th, and went into a very exhaustive discussion of all the mat-ters at issue, as set forth in the Annual Report made to the Direc-tors by S. M. Brinson, Attorney. 1st. SHOPS AT NEW BERN. It seems that a part of the shops at New Bern were burned, and which, it is claimed, have never been rebuilt. By reference to the original valuation, we find that part of the shops at New Bern which was destroyed by fire was valued at $8,000.00. The Norfolk- Southern Railroad admits that they have not replaced this partic-ular building, but that they have spent $5,500.00 in building other buildings, better suited for their purposes, and that they have pur-chased land valued at $2,500.00, the deed for same being taken in the name of the Atlantic & North Carolina Railroad Company; and they further state that they have put side tracks in the space formerly occupied by the burned building, (which were absolutely necessary), and that the shops, as now constituted, are better suited for the purposes for which they are intended than they would be if they rebuilt the old burned building. They state, however, that they will rebuild the building, if the Directors of the Atlantic & North Carolina Railroad insist upon it, after fully acquainting themselves with the facts. They also state that it is their purpose to move the shops to another location, as the time is fast coming when they will need more space, which cannot be secured, adjacent to the present location, at any reasonable figure. Your Committee recommends that the action, thus far taken in this particular by the Norfolk-Southern Railroad, be approved. 2nd. WHETHER PROPERTY OF A DIFFERENT CHARACTER MAY BE SUBSTITUTED TO COVER ITEMS OF IN-VENTORY. The Norfolk-Southern Railroad does not claim that this can be done, but they do claim that one engine, valued at as much as two of the engines turned over to them by the Atlantic & North Carolina Railroad, can be substituted for the two; and your Committee agrees with them. They also contend that freight cars may be substituted for other freight cars. In other words, a box car may be substituted for a flat car, it being their general policy to pro-vide themselves with equipment best suited to their purposes as common carriers, and it seems to your Committee that this is best for the Norfolk-Southern Railroad, as well as the Atlantic & North Carolina Railroad. 3rd. WHETHER PROPERTY BOUGHT WITH THE $250,000.00 AND HERETOFORE INVENTORIED IS TO BECOME A PART OF THE PERMANENT INVENTORY AND THE PROPERTY OF THE ATLANTIC & NORTH CAROLINA RAILROAD. To this the Norfolk-Southern Railroad agreed, having been ad-vised that after once putting this in the inventory they cannot now recede from that action. 4th. MARKING THE PROPERTY FOR IDENTIFICATION. The Norfolk-Southern Railroad has agreed to do this, and they advise that they have already marked with iron plates as follows: "Atlantic & North Carolina Railroad, Lessors" (which, Col. Rodman advises, is in accordance with the law) the following equipment: Ten (10) locomotives, Twenty-eight (28) passenger cars, Eighty-nine (89) freight cars. Remaining to be marked: Three (3) loco-motives, One (1) passenger car, One Hundred and fifty-three (153) freight cars, which, Mr. Hicks advised your Committee, would be marked as soon as they could be gotten to. The locomotive and passenger cars will be marked right away, and the freight cars as soon as they can get them back on the line, these orders having been issued from the headquarters of the road. 5th. THEY CLAIM THAT THEY HAVE NOT SUBSTITUTED ANY MORTGAGED PROPERTY. 6th. LOG CARS. The Norfolk-Southern Railroad advised that they have sold to the Jno. L. Roper Lumber Company ninety-one (91) log cars, (which were of no service whatever to them in their operations), and sub-stituted other cars in their place. Mr. Hicks advised that log cars were not considered the proper cars to go on the main track of a Railroad at this time; that they had no use for the cars; but, if we insisted upon it, they would purchase ninety-one (91) log cars, together with those now in possession of the Company, and pile them up on the side track so that we could inventory them each year, which, however, will be a great disadvantage to the Norfolk- Southern Railroad, as well as a waste of money. He advised that he was perfectly willing to substitute freight cars, box or flat, in place of the log cars, and mark with a plate as above set forth. 7th. SHALL THE LESSEE COMPANY PLACE ROLLING STOCK ON THE TRACK OF THE ATLANTIC & NORTH CARO-LINA RAILROAD COMPANY FOR INSPECTION AND IN-VENTORY. Mr. Hicks explained to your Committee that this is next to im-possible, unless we wish to very seriously interfere with the traffic 6 of the Norfolk-Southern Railroad, as a whole. That these cars go over the entire country, and he made the following statement as an example: That they had one car that left their line about a year ago, and, in tracing it, it was located in Seattle, and they have been three months trying to get that car back on their track. However, what is known as the "Car Account", he stated, was absolutely accurate, and would be submitted to us at any time, showing that the cars were still in existence. Your Committee thinks this is a reasonable request. The Norfolk-Southern Railroad Company, in our conference, further stated that they had spent a great deal of money they did not feel they were legally called upon to do, viz: The paving of the Streets of New Bern, at a cost of $30,000.00, which they have not raised any point of, although they are of the opinion that the City of New Bern had a better claim against the Atlantic & North Carolina Railroad than they did against the Nor-folk- Southern. 8th. DEPOTS AT GOLDSBORO AND LAGRANGE. They state that contracts for new depots in these towns have been let. 9th. AVERAGE FREIGHT RATES NOT TO BE IN EXCESS OF THOSE IN EFFECT AT THE TIME OF THE LEASE. The Norfolk-Southern Railroad claims that the average freight rates are not only not higher, but that they are lower, and prom-ises to submit to us a schedule of the rates in existence at the time of lease and also those in existence today. They stated, however, that there were some special rates given on certain commodities, by the Atlantic & North Carolina Railroad, prior to the lease, that have been raised, for the reason they were always illegal and they could not put themselves in position of violation of the law, even should they so desire. In conclusion, your Committee is of the unanimous opinion that we have nothing to fear from the management of the Norfolk- Southern Railroad, who were fair and liberal in their construction of the lease, yielded every point that we raised, and seemed to be disposed to do anything in reason, and in accordance with the lease. Young, President, Norfolk Southern Railway, Norfolk, Virginia. Gentlemen: We, the undersigned Experts representing the Lessor and Lessee beg to advise that we made the annual inspection of the roadbed and depot buildings of the Atlantic & North Carolina Rail-road on June 16th, and submit the following report: We found the general condition of the road and roadbed good. The force is now going over the road replacing defective ties and making any necessary repairs to trestles and bridges. A few of the guard rails on Trent River bridge need repairing. The under-work to all bridges and trestles seems to be safe and in good con-dition and the maintenance of the property as a whole to meet the requirements of the. lease. A brick warehouse to replace the one burned at Goldsboro is nearing completion. A small frame house recently burned has not been replaced. A combined Freight and Passenger Station has been built at LaGrange to replace the burned Passenger Station. A combined Freight and Passenger Station has been built at Dover to replace the one burned. A combined Freight and Passenger Station has been added at Clarks. An 80,000 gallon Steel Water Tank has been added at New Bern. The Atlantic Hotel, Wharves and Electric Light Plant are in fair condition. Necessary repairs have been made with the exception of work to be completed on roof of Hotel Building and on the engine of the Electric Light Plant. We show below a detailed statement of betterments and improve-ments and the cost of same for the fiscal year ending June 30th, also statement of Equipment in service and status of that dis-posed of. PROCEEDINGS OF THE 60th ANNUAL MEETING OF THE STOCKHOLDERS OF THE ATLANTIC AND NORTH CAROLINA RAILROAD. Mokehead City, N. 0., August 6th, 1914. The 60th Annual Meeting of the Stockholders of the At-lantic and North Carolina Railroad Company is held in the Convention Hall of the Atlantic Hotel, at Morehead City, North Carolina, on the First Thursday after the first Monday in August, 1914, it being the 6th day of said month, at 12 o'clock, noon. The meeting is called to order by President H. H. Grain-ger, who requests George P. Folk, of Wake County, to act as temporary Chairman, and George Green, of Craven Coun-ty, as temporary Secretary. The Proxy Committee, through its Chairman, Henry R. Bryan, Jr., submit the following report, which is read by the Secretary, and, on motion of L. II. Cutler, unanimously adopted, to-wit Morehead City, N. C, August 6th, 1914. To the Stockholders of the Atlantic & North Carolina R. R. Co. Nominations for Directors on the part of the private stock-holders being declared in order, the following are placed in nomination by C. E. Nominations for Committee to verify Proxies being de-clared in order, the following are placed in nomination by Dempsey Wood, to-wit : H. R. Bryan, Jr., of Craven county ; D. Oettinger, of Lenoir county ; Dr. Henry Tull, of Lenoir county; C. D. Bradham, of Craven county; P. M. Pearsall, of Craven county. There being no other nominations, on motion, the Secretary is instructed to cast the entire vote represented in the meeting for the above named gentlemen, which is accordingly done, and they each receiving 1,185 votes are declared duly elected. On motion of Dempsy Wood, the next Annual Meeting of the Stockholders was ordered held at Morehead City on the first Thursday after the first Monday in August, 1915. On motion of E. C. Duncan, a vote of thanks was tendered by the stockholders to President Grainger for the able and efficient manner in which he has conducted the affairs of the road during the administration as President. C. R. R. Co. Gentlemen: I herewith submit my annual report as President of your Company for the fiscal year ending June 30th, 1914. The semi-annual rental for your property has been paid promptly by the lessee and a dividend of 1 1-2 per cent has been declared both in January and July of this year. I do not think it necessary to go into detail as to the affairs of your Company. A careful perusal of the reports of the Finance Committee and your Treasurer will give you all the information as to the income and the disbursements of the same. The Lessees have on deposit with the Wachovia Loan & Trust Company, of Winston-Salem, N. C, $80,000.00 6 per cent North Carolina bonds due April 1st, 1919, and one first mortgage bond of the Goldsboro Union Station Company for $28,000.00 due August 1st, 1933, for the protection of your interest. Your attention is called to the report of a special committee appointed at your suggestion at the last annual meeting of your Company to confer with the proper officials of the Norfolk-Southern R. R. Co. and see if an amicable agreement could not be reached relative to matters set forth in the reports of your former Presi-dent and Expert, of which I beg to advise have been satisfactorily adjusted. The Lessees have paid all taxes for the year 1913 and all notes and interest due on the purchase price of the Atlantic Hotel with the exception of four notes of $500.00 each, two of which are due and payable January 4th, 1915, and two on January 4th, 1916, and also are carrying $228,200.00 fire insurance for the protection of your property. You will find herewith attached reports of your Auditor and Expert giving in detail matters handled by them. All of which is respectfuly submitted, H. H. GRAINGER, President. SPECIAL COMMITTEE'S REPORT The undersigned Committee, appointed to meet with the Com-mittee of the Norfolk-Southern Railroad, with a view of settling the matters in dispute between the Atlantic & North Carolina Rail-road and the Norfolk-Southern Railroad, met at Kinston on Decem-ber 29th, and went into a very exhaustive discussion of all the mat-ters at issue, as set forth in the Annual Report made to the Direc-tors by S. M. Brinson, Attorney. 1st. SHOPS AT NEW BERN. It seems that a part of the shops at New Bern were burned, and which, it is claimed, have never been rebuilt. By reference to the original valuation, we find that part of the shops at New Bern which was destroyed by fire was valued at $8,000.00. The Norfolk- Southern Railroad admits that they have not replaced this partic-ular building, but that they have spent $5,500.00 in building other buildings, better suited for their purposes, and that they have pur-chased land valued at $2,500.00, the deed for same being taken in the name of the Atlantic & North Carolina Railroad Company; and they further state that they have put side tracks in the space formerly occupied by the burned building, (which were absolutely necessary), and that the shops, as now constituted, are better suited for the purposes for which they are intended than they would be if they rebuilt the old burned building. They state, however, that they will rebuild the building, if the Directors of the Atlantic & North Carolina Railroad insist upon it, after fully acquainting themselves with the facts. They also state that it is their purpose to move the shops to another location, as the time is fast coming when they will need more space, which cannot be secured, adjacent to the present location, at any reasonable figure. Your Committee recommends that the action, thus far taken in this particular by the Norfolk-Southern Railroad, be approved. 2nd. WHETHER PROPERTY OF A DIFFERENT CHARACTER MAY BE SUBSTITUTED TO COVER ITEMS OF IN-VENTORY. The Norfolk-Southern Railroad does not claim that this can be done, but they do claim that one engine, valued at as much as two of the engines turned over to them by the Atlantic & North Carolina Railroad, can be substituted for the two; and your Committee agrees with them. They also contend that freight cars may be substituted for other freight cars. In other words, a box car may be substituted for a flat car, it being their general policy to pro-vide themselves with equipment best suited to their purposes as common carriers, and it seems to your Committee that this is best for the Norfolk-Southern Railroad, as well as the Atlantic & North Carolina Railroad. 3rd. WHETHER PROPERTY BOUGHT WITH THE $250,000.00 AND HERETOFORE INVENTORIED IS TO BECOME A PART OF THE PERMANENT INVENTORY AND THE PROPERTY OF THE ATLANTIC & NORTH CAROLINA RAILROAD. To this the Norfolk-Southern Railroad agreed, having been ad-vised that after once putting this in the inventory they cannot now recede from that action. 4th. MARKING THE PROPERTY FOR IDENTIFICATION. The Norfolk-Southern Railroad has agreed to do this, and they advise that they have already marked with iron plates as follows: "Atlantic & North Carolina Railroad, Lessors" (which, Col. Rodman advises, is in accordance with the law) the following equipment: Ten (10) locomotives, Twenty-eight (28) passenger cars, Eighty-nine (89) freight cars. Remaining to be marked: Three (3) loco-motives, One (1) passenger car, One Hundred and fifty-three (153) freight cars, which, Mr. Hicks advised your Committee, would be marked as soon as they could be gotten to. The locomotive and passenger cars will be marked right away, and the freight cars as soon as they can get them back on the line, these orders having been issued from the headquarters of the road. 5th. THEY CLAIM THAT THEY HAVE NOT SUBSTITUTED ANY MORTGAGED PROPERTY. 6th. LOG CARS. The Norfolk-Southern Railroad advised that they have sold to the Jno. L. Roper Lumber Company ninety-one (91) log cars, (which were of no service whatever to them in their operations), and sub-stituted other cars in their place. Mr. Hicks advised that log cars were not considered the proper cars to go on the main track of a Railroad at this time; that they had no use for the cars; but, if we insisted upon it, they would purchase ninety-one (91) log cars, together with those now in possession of the Company, and pile them up on the side track so that we could inventory them each year, which, however, will be a great disadvantage to the Norfolk- Southern Railroad, as well as a waste of money. He advised that he was perfectly willing to substitute freight cars, box or flat, in place of the log cars, and mark with a plate as above set forth. 7th. SHALL THE LESSEE COMPANY PLACE ROLLING STOCK ON THE TRACK OF THE ATLANTIC & NORTH CARO-LINA RAILROAD COMPANY FOR INSPECTION AND IN-VENTORY. Mr. Hicks explained to your Committee that this is next to im-possible, unless we wish to very seriously interfere with the traffic 6 of the Norfolk-Southern Railroad, as a whole. That these cars go over the entire country, and he made the following statement as an example: That they had one car that left their line about a year ago, and, in tracing it, it was located in Seattle, and they have been three months trying to get that car back on their track. However, what is known as the "Car Account", he stated, was absolutely accurate, and would be submitted to us at any time, showing that the cars were still in existence. Your Committee thinks this is a reasonable request. The Norfolk-Southern Railroad Company, in our conference, further stated that they had spent a great deal of money they did not feel they were legally called upon to do, viz: The paving of the Streets of New Bern, at a cost of $30,000.00, which they have not raised any point of, although they are of the opinion that the City of New Bern had a better claim against the Atlantic & North Carolina Railroad than they did against the Nor-folk- Southern. 8th. DEPOTS AT GOLDSBORO AND LAGRANGE. They state that contracts for new depots in these towns have been let. 9th. AVERAGE FREIGHT RATES NOT TO BE IN EXCESS OF THOSE IN EFFECT AT THE TIME OF THE LEASE. The Norfolk-Southern Railroad claims that the average freight rates are not only not higher, but that they are lower, and prom-ises to submit to us a schedule of the rates in existence at the time of lease and also those in existence today. They stated, however, that there were some special rates given on certain commodities, by the Atlantic & North Carolina Railroad, prior to the lease, that have been raised, for the reason they were always illegal and they could not put themselves in position of violation of the law, even should they so desire. In conclusion, your Committee is of the unanimous opinion that we have nothing to fear from the management of the Norfolk- Southern Railroad, who were fair and liberal in their construction of the lease, yielded every point that we raised, and seemed to be disposed to do anything in reason, and in accordance with the lease. We, the undersigned members of the Finance Committee of the A. & N. C. Railroad, for and in behalf of said Committee have duly audited the books of D. J. Gentlemen, We, the undersigned members of the Finance Com-mittee, for and in behalf of said Committee, have this day audited the books of T. W. Gentlemen: We, the undersigned Experts representing the Lessor and Lessee beg to advise that we made the annual inspection of the roadbed and depot buildings of the Atlantic & North Carolina Rail-road on June 16th, and submit the following report: We found the general condition of the road and roadbed good. The force is now going over the road replacing defective ties and making any necessary repairs to trestles and bridges. A few of the guard rails on Trent River bridge need repairing. The under-work to all bridges and trestles seems to be safe and in good con-dition and the maintenance of the property as a whole to meet the requirements of the. lease. A brick warehouse to replace the one burned at Goldsboro is nearing completion. A small frame house recently burned has not been replaced. A combined Freight and Passenger Station has been built at LaGrange to replace the burned Passenger Station. A combined Freight and Passenger Station has been built at Dover to replace the one burned. A combined Freight and Passenger Station has been added at Clarks. An 80,000 gallon Steel Water Tank has been added at New Bern. The Atlantic Hotel, Wharves and Electric Light Plant are in fair condition. Necessary repairs have been made with the exception of work to be completed on roof of Hotel Building and on the engine of the Electric Light Plant. We show below a detailed statement of betterments and improve-ments and the cost of same for the fiscal year ending June 30th, also statement of Equipment in service and status of that dis-posed of.
