Morehead City, N. 0., August 9th, 1917. The Sixty-third Annual Meeting of the Stockholders of the Atlantic and North Carolina Railroad Company is held at Morehead City, North Carolina, on the first Thursday after the first Monday in August, 1917, it being the 9th day of said month, at 12 o'clock, noon. The meeting is called to order by R. A. Nunn, the Presi-dent of the Company, and George Green, of New Bern, is requested to act as temporary Secretary. The Proxy Committee, through D. Oettinger, of Kinston, submit the following report, which is read, and, on motion of L. H. Cutler, unanimously adopted, to-wit : Morehead City, N. C, August 9th, 1917. Cutler, the reading of the minutes of the last Annual and Special Meeting, and the reports of other officers and Committees are dispensed with, the same having been printed and distributed among the stockholders. T. C. Etheridge, State Proxy, announces the appointment of the following Directors on the part of the State, to-wit : Charles S. Wallace, of Carteret County. Thomas G. Hyman, of Craven County. J. K. On motion the meeting adjourned. E. C. Duncan, Chairman, George Green, Secretary. PRESIDENT'S REPORT. New Bern, N. C, August 8, 1918. To the Stockholders of the Atlantic and North Carolina Rail-road Company; Gentlemen: The fiscal year just ending has been one of momentous happenings in railroad circles, the world over. Unprecedented conditions have induced unusual actions — actions well nigh revolutionary as measured by the rules and customs of the generations passed. We meet to consider matters affecting the Atlantic & North Carolina Railroad, which is the property of us and those we legally represent, and yet, we find ourselves with practically no authority over our property and—for the first time—re-quired to pay for transportation over our own lines when transacting the business of the road, even when inspecting it (under terms of the lease) to assure ourselves of the com-pliance on part of the lessees with the'- terms of the said lease. The situation is anomalous and is only tolerable under the plea of Governmental exigency, of dire National need. This plea ought not to be made unless it serves a real, valid purpose in an hour of urgent need. As matters now stand, we are two degrees removed from our property and the authority now operating the road (the Federal Authorities) does not hold itself bound in the least by the contract between lessor and lessee. As a consequence, considerations of the lease as legally bind-ing as the money consideration are ignored and we are told that our sole chance for redress lies in damage suits against the lessee company. The lessee is willing and anxious to discharge its full duty as fixed by the contract, the lease, but the Federal officials decline to permit it. I am, as you will of course understand, referring to the mat-ter of free transportation, which under the contract with lessee company certain officials of the A. & N. C. R. R. Company are entitled to. The rental provided in the lease is not large when the pres-ent and prospective value of our road is considered. To relieve the road of its further obligations fixed in the lease or failure on part of Government Agencv now operating 6 the road to respect and comply with these other obligations, which are legally binding in the courts of North Carolina, will not tend to inspire a wholesome degree of respect for the Federal administration of this road. Upon assuming control of the road, the Director General called for the return of the passes held by the officers of the Lessor (A. & N. C. Co.) and under date February 15th Pres-ident Young of the Norfolk-Southern, pursuant to this order of the Director General, called for the return of all passes held by officials of the A. & N. C. R. R. Co. over the lines of the Norfolk-Southern or over other roads, issued by courtesy or through exchange. Under date February 22, 1918, President Young of the N.-S. wired me that Director General had ordered that no passes, either inter-state or intra-state should be issued unless authorized by the Inter-State Commerce Act and that the Inter-State Commerce Commission had ruled that officials of non-operating roads are not entitled to passes. It can thus be seen that, under plea of war conditions, all roads, whether inter-state or intra-state, are merged into one system. By one stroke of the pen a fiction is given the semblance of fact and the rights of the state are made to wait on the decisions of those in no way connected with or answerable to the state. After conference wTith Governor Bickett over the 'phone, I went to Washington in company with Mr. T. D. Warren, former President of the road and Col. Pearsall, Attorney for the North Carolina Railroad Company, for the purpose of interviewing the Legal Advisor of the Director General and endeavoring to have the matter satisfactorily settled and our rights under the lease protected. A conference was had with Mr. John Barton Payne, legal Advisor of the Director General, at which conference it was learned that Mr. Payne was advising the Director General that he need pay no attention to contracts between lessor and lessee companies, these matters being purely for settlement, or litigation between the companies. Growing out of this conference, he later suggested that a settlement could be had upon the basis of valuing the passes and having the passes issued with an understanding with the Norfolk-Southern that the value of these passes be charged against that company in settlement of rent. Pursuant to this suggestion I called a meeting in my office, in the early part of April, of all officers and committeemen who, under our charter and laws are entitled to passes. Moderate estimates were placed on the value of these passes and the aggregate amount ($1,000.00) was submitted to the Norfokl-Soutkern Railroad Company. Acting upon the suggestion of those present at this meeting, I went to Norfolk and had a very pleasant conference with President Young, who seemed altogether willing to furnish the transportation and very eager to maintain friendly rela-tions with the lessor company and its officers but stoutly op-posed to the suggestion of Mr. Payne that his company be charged with the value of the passes, saying, among other things, that the Government should carry out these obligations as well as others which it had assumed to do upon taking over the road. Thus the matter now stands and the contract of lease is only partially complied with. Your officers have sought relief through every avenue which seemed available. Unless Director General McAdoo, himself, interposes no relief is likely to come. Another matter of importance growing out of the lease is that of the insurance of the property of the company. According to the terms of the lease, the lessee is required to keep the properly of lessor insured in an aggregate amount of not less than Sixty Thousand Dollars ($60",00d). Acting under authority of an act of Congress entitled : — "An act to provide for the operation of transportation systems while under Federal control," &c.—approved March 21, 1918, the Director General issued an order on May 16, 1918, in-structing carriers not to renew any expiring insurance cover-ing property in Federal control. President Young wrote me in reference to this matter, ask-ing, in view of the act of Congress and the Director General's instructions pursuant thereto, if our road would insist upon the lessee taking out insurance according to terms of the lease. I wrote to the Legal Advisor, Mr. Payne, and his answer assured me that the Government was then making standard contracts with roads under Federal control whereby the Gov-ernment assumed the responsibility of making good fire losses'. This information I have communcated to President Young 9 with the statement that during the interim—from now until the fire insurance contracts referred to by Mr. Payne are com-pleted— this road would hold the Norfolk-Southern liable under the covenant of insurance. Litigation is still pending between the city of Kinston and the Norfolk-Southern and the Atlantic & North Carolina Railroad Companies wherein the said city is seeking to col-lect a special assessment for street paving along side the track of the company in that city. The Norfolk-Southern, through its Attorney, Col. Rodman, has agreed with us, through our attorney, Mr. Warren, to jointly with us defend the suit and leave the ultimate liability as between the two companies to be determined later, if decis-ion is adverse to the roads. Information as to the physical condition of the road, build-ings and equipment is furnished in the report of our expert. As to financial matters, the reports of the Secretary-Treas-urer, Finance Committee and Auditor will inform you. To these reports I respectfully refer you. In. the hope that the coming year may afford an agreeable solution to the vexatious problems of the past year, I respect-fully submit this, my annual report. S. M. BEiNsoisr, President. The Secretary-Treasurer also holds from said Wayne Na-tional Bank a 4 per cent, interest bearing certificate for $1,000.00 dated June 24th, 1918, the aggregate amount of the two deposits on open account, and the interest bearing certificate being $1,509.56. We further find that the Secretary-Treasurer has deposited 12 13 with the said Wayne National Bank 4 per cent interest bear-ing bonds of the State of North Carolina amounting to $4,- 000.00, the property of your Company. All of which is respectfully submitted, George Green,, R. G. Hodges, Finance Committee. EXPERTS' REPORT. To the Stockholders of the Atlantic and North Carolina Rail-road Company. Gentlemen : We, the undersigned Experts, representing the Lessor and Lessee, report that we made the annual inspection of the roadbed, depot buildings and shops, on the 23rd instant, and that we found the condition of same such as to meet the re-quirements of the lease. The Trestles and Bridges are in good safe condition, and necessary repairs have been made to the important depot plat-forms. There is now in operation, between Goldsboro and Falling Creek, a ditching and grading machine that is leaving the roadbed in good condition. We show below detailed statement of betterments and im-provements, together with the cost of same, for the fiscal year ending July 1st, 1918. IMPROVEMENTS ON A. & N. C. R. Morehead City, N. 0., August 9th, 1917. The Sixty-third Annual Meeting of the Stockholders of the Atlantic and North Carolina Railroad Company is held at Morehead City, North Carolina, on the first Thursday after the first Monday in August, 1917, it being the 9th day of said month, at 12 o'clock, noon. The meeting is called to order by R. A. Nunn, the Presi-dent of the Company, and George Green, of New Bern, is requested to act as temporary Secretary. The Proxy Committee, through D. On motion the meeting adjourned. E. C. Duncan, Chairman, George Green, Secretary. PRESIDENT'S REPORT. New Bern, N. C, August 8, 1918. To the Stockholders of the Atlantic and North Carolina Rail-road Company; Gentlemen: The fiscal year just ending has been one of momentous happenings in railroad circles, the world over. Unprecedented conditions have induced unusual actions — actions well nigh revolutionary as measured by the rules and customs of the generations passed. We meet to consider matters affecting the Atlantic & North Carolina Railroad, which is the property of us and those we legally represent, and yet, we find ourselves with practically no authority over our property and—for the first time—re-quired to pay for transportation over our own lines when transacting the business of the road, even when inspecting it (under terms of the lease) to assure ourselves of the com-pliance on part of the lessees with the'- terms of the said lease. The situation is anomalous and is only tolerable under the plea of Governmental exigency, of dire National need. This plea ought not to be made unless it serves a real, valid purpose in an hour of urgent need. As matters now stand, we are two degrees removed from our property and the authority now operating the road (the Federal Authorities) does not hold itself bound in the least by the contract between lessor and lessee. As a consequence, considerations of the lease as legally bind-ing as the money consideration are ignored and we are told that our sole chance for redress lies in damage suits against the lessee company. The lessee is willing and anxious to discharge its full duty as fixed by the contract, the lease, but the Federal officials decline to permit it. I am, as you will of course understand, referring to the mat-ter of free transportation, which under the contract with lessee company certain officials of the A. & N. C. R. R. Company are entitled to. The rental provided in the lease is not large when the pres-ent and prospective value of our road is considered. To relieve the road of its further obligations fixed in the lease or failure on part of Government Agencv now operating 6 the road to respect and comply with these other obligations, which are legally binding in the courts of North Carolina, will not tend to inspire a wholesome degree of respect for the Federal administration of this road. Upon assuming control of the road, the Director General called for the return of the passes held by the officers of the Lessor (A. & N. C. Co.) and under date February 15th Pres-ident Young of the Norfolk-Southern, pursuant to this order of the Director General, called for the return of all passes held by officials of the A. & N. C. R. R. Co. over the lines of the Norfolk-Southern or over other roads, issued by courtesy or through exchange. Under date February 22, 1918, President Young of the N.-S. wired me that Director General had ordered that no passes, either inter-state or intra-state should be issued unless authorized by the Inter-State Commerce Act and that the Inter-State Commerce Commission had ruled that officials of non-operating roads are not entitled to passes. It can thus be seen that, under plea of war conditions, all roads, whether inter-state or intra-state, are merged into one system. By one stroke of the pen a fiction is given the semblance of fact and the rights of the state are made to wait on the decisions of those in no way connected with or answerable to the state. After conference wTith Governor Bickett over the 'phone, I went to Washington in company with Mr. T. D. Warren, former President of the road and Col. Pearsall, Attorney for the North Carolina Railroad Company, for the purpose of interviewing the Legal Advisor of the Director General and endeavoring to have the matter satisfactorily settled and our rights under the lease protected. A conference was had with Mr. John Barton Payne, legal Advisor of the Director General, at which conference it was learned that Mr. Payne was advising the Director General that he need pay no attention to contracts between lessor and lessee companies, these matters being purely for settlement, or litigation between the companies. Growing out of this conference, he later suggested that a settlement could be had upon the basis of valuing the passes and having the passes issued with an understanding with the Norfolk-Southern that the value of these passes be charged against that company in settlement of rent. Pursuant to this suggestion I called a meeting in my office, in the early part of April, of all officers and committeemen who, under our charter and laws are entitled to passes. Moderate estimates were placed on the value of these passes and the aggregate amount ($1,000.00) was submitted to the Norfokl-Soutkern Railroad Company. Acting upon the suggestion of those present at this meeting, I went to Norfolk and had a very pleasant conference with President Young, who seemed altogether willing to furnish the transportation and very eager to maintain friendly rela-tions with the lessor company and its officers but stoutly op-posed to the suggestion of Mr. Payne that his company be charged with the value of the passes, saying, among other things, that the Government should carry out these obligations as well as others which it had assumed to do upon taking over the road. Thus the matter now stands and the contract of lease is only partially complied with. Your officers have sought relief through every avenue which seemed available. Unless Director General McAdoo, himself, interposes no relief is likely to come. Another matter of importance growing out of the lease is that of the insurance of the property of the company. According to the terms of the lease, the lessee is required to keep the properly of lessor insured in an aggregate amount of not less than Sixty Thousand Dollars ($60",00d). Acting under authority of an act of Congress entitled : — "An act to provide for the operation of transportation systems while under Federal control," &c.—approved March 21, 1918, the Director General issued an order on May 16, 1918, in-structing carriers not to renew any expiring insurance cover-ing property in Federal control. President Young wrote me in reference to this matter, ask-ing, in view of the act of Congress and the Director General's instructions pursuant thereto, if our road would insist upon the lessee taking out insurance according to terms of the lease. I wrote to the Legal Advisor, Mr. Payne, and his answer assured me that the Government was then making standard contracts with roads under Federal control whereby the Gov-ernment assumed the responsibility of making good fire losses'. This information I have communcated to President Young 9 with the statement that during the interim—from now until the fire insurance contracts referred to by Mr. Payne are com-pleted— this road would hold the Norfolk-Southern liable under the covenant of insurance. Litigation is still pending between the city of Kinston and the Norfolk-Southern and the Atlantic & North Carolina Railroad Companies wherein the said city is seeking to col-lect a special assessment for street paving along side the track of the company in that city. The Norfolk-Southern, through its Attorney, Col. Rodman, has agreed with us, through our attorney, Mr. Warren, to jointly with us defend the suit and leave the ultimate liability as between the two companies to be determined later, if decis-ion is adverse to the roads. Information as to the physical condition of the road, build-ings and equipment is furnished in the report of our expert. As to financial matters, the reports of the Secretary-Treas-urer, Finance Committee and Auditor will inform you. To these reports I respectfully refer you. We further find that the Secretary-Treasurer has deposited 12 13 with the said Wayne National Bank 4 per cent interest bear-ing bonds of the State of North Carolina amounting to $4,- 000.00, the property of your Company. All of which is respectfully submitted, George Green,, R. G. Hodges, Finance Committee. EXPERTS' REPORT. To the Stockholders of the Atlantic and North Carolina Rail-road Company. Gentlemen : We, the undersigned Experts, representing the Lessor and Lessee, report that we made the annual inspection of the roadbed, depot buildings and shops, on the 23rd instant, and that we found the condition of same such as to meet the re-quirements of the lease. The Trestles and Bridges are in good safe condition, and necessary repairs have been made to the important depot plat-forms. There is now in operation, between Goldsboro and Falling Creek, a ditching and grading machine that is leaving the roadbed in good condition. We show below detailed statement of betterments and im-provements, together with the cost of same, for the fiscal year ending July 1st, 1918. IMPROVEMENTS ON A. & N. C. R.
