S. TUCKER. PROCEEDINGS. The Tvveutieth Annual Meeting of tlie Stockholders of the Ealeigh & Gaston Eaikoad Company, was held in the Hall of the Company's ofiice, in Ealeigh, on Thursday, the 21st July, 1870. On motion of Dr. AV. J. Hawkins, the meeting was called to order by the appointment of Hon. D. M. Barringer, Pres-dent, and W. W. Yass and Eufus S. Tucker, Secretaries. On motion of Jos. B. Batchelor, Esq., Messrs. T. B. Ven-able, Thos. White and W. AV. Vass, w^ere appointed a com-mittee to verify proxies, and ascertain the amount of stock represented—who subsequently reported as follows : Number of shares represented in person 0,000 iSTumber of shares represented by proxy 0,000 Total shares, in person, and by proxy, 00,000 A majority of the w^hole capital stock of the Company be-ing represented, as reported, the Chairman announced that the meeting was regularly organized. Dr. W. J. Hawkins, President of the Eoad, read the an-nual report of the President and Board of Directors, and Geo. W. Mordecai, Esq., read the report of the Treasm-er. On niotion, the reports of the President and Treasm-er were referred, under the rules, to a committee consisting, by appointment of the Chairman, of Messrs. Kemp P. Battle, and W. W. Ohamberlaine, who subsequently reported, that they had examined the same, and recommended their adop-tion. Whereupon, on motion, the reports were received and adopted by the meeting. Maj. T. B. Tenable read the Annual report of the Com-mittee on Finance and Inspection, which on motion of K^ P. Battle, was adopted. The foliowing Eesoliitious were read and adopted : By D. W. Spivey: Resolved, That the Dkectors be instructed to enquire into tlie expedi-ency of establishing other depots on the hne of the road, so as to oflFer greater facilities for the transportation of produce and other commodi-ties, and report to the next annual meeting of the Stockholders. ByHon.W.H. Battle: Resolved, That on or before 9 o'clock of the day appointed for the an-nual meeting of the Stockholders of this Company, every Stockholder who intends to be present in person, or as proxy for another, be request-ed to notify the Secretaiy of such intention, and that a committee of two be appointed at the preceding annual meeting, to verify the proxies. Adopted, and the Chau-inan appointed W. W. Vass and A. M. McPheeters on the Committee to verify proxies at the next annual meeting. By B. F. Moore: Resolved, That the Dii'ectors be instructed to provide at some conven-ient jjlace or places at the Raleigh depot, water and proper apparatus for the extinguishment of fires. By K. P. Battle, Esq. Resolved, That the Directors be instructed to enquire into the expedi-ency of encouraging local travel by the adoption of convenient day sched-ules, at moderate fares, for passenger traffic to be adhered to for a length of time sufficient to test its capabilities. By B. F. Hester, Esq., Resolved, That the Directors of the Raleigh & Gaston Railroad Co., be requested to enquire into the expediency of reducing the tai'iff of local freights on the road. By W. A. Quincy, Esq.: Resolved, That the Board of Directors be requested to enqmi-e into the expediency of reducing the present rates of freight upon fertilizers. By Maj. ^Y. H. Smith: Resolved, That the President and Board of Directors of the Raleigh & Gaston Railroad, be, and they are hereby respectfully requested to en-quire into the expediency of transporting coal directly into Norfolk by adjustable trucks, passing from the Seaboard & Roanoke Railroad, to the Norfolk & Petersburg RaUroad, and make report at an early day to the Councils of the city of Norfolk. On motion of B. F. Moore, Esq., the meeting proceeded to ballot for seven Dkectors for the ensuing year, resulting in the election of the following : Wm. J. Hawkins, - - Eidgeway. Geo. W. Ou motion of S. E. Plummer, Esq., the Stockholders bal-lotted for three members of the Committee of Finance and Inspection, and the following were elected for the ensuing year : T. B. Tenable, Oxford. Hon. D. M. Barringer, Ealeigh. Enfus S. Tucker, Ealeigh. The following resolution, presented by Gen. W. E. To the StocMolderH of the BalcU/h and Gaston Railroad Company: Gentlemen : We submit for jonv consideration and ap-proval our Twentieth Annual Eeport, with the reports of the kSuperintendent, Treasurer, Auditor and Master Mechan-ic, showing the operations of the Oompan}' in detail for the fiscal year ending the 31st of May last. The receipts have been : From Freights, - . - - $221,088 02 " Passengers, - - " - 83,482 83 " Mail, ----- 7,169 29 " Miscellaneous, - _ _ 1,372 47 Total, - - - - $313,112 61 Expenditures current and otherwise, - 225,240 99 Balance on transportation account, - I 87,871 62 Out of which the Board of Directors declared a dividend of live per cent, payable on the 15th day of July. The business and receipts of the Company especially from passengers, since the completion of the through line to Au-gusta, have not been so large as we hoped or anticipated. With the co-operation, however, of the North Carohna Eail Eoad and the Charlotte, Columbia and Augusta Eail Eoad, we will be able to command a considerable portion of the freights, from prominent points in South Carolina : yours, the " Seaboard Inland Air-Line," being the best and quick-est outlet for them. The roads, west of Columbia, should be tributary to and a part of this inland air-line, and we hope to make them so. The completion of the Chatham Road to Haywood, some thirty miles, is already adding considerable to yom: business, and when completed to and connection made with Fayette- \'ille, and the Coalfields, you may expect a large mcrease from the transportation of coal, copper and naval stores. The opening and working of the coal and copper shafts uuist give you a large tonnage, and will require a considerable outlay for coal cars, and equipment to meet it. We desire to haul inward for the farmers along your line a ton of marl from the marl beds of Virginia for every ton of coal taken out, in that way reduce the cost of transportation, increase your profits and enrich all the lands within fifteen miles of your load. The tide of emigration is slowly but sm-ely setting South. You already have many new settlers on the line of the road, with cheap and quick transportation, cheap and permament fertilizers, a good soil, the best climate and the best water on the continent, and within a few hours' ride of Baltimore, Philadelphia and New York, your prosperty must be onward. You should offer and hold out the most liberal inducements to settlers and to manufacturing of every kind. Your road-bed and track are in much better condition than last year, some thirteen miles of new T rails, fifty lbs. to the yard, having been used in repairs. Yom' engine and car equipment is in good concUtion, one new engine, the Roanoke, having been added to the list. The re-building of the Tar River bridge, eight hundred and fifty feet, has commenced, to be completed by the first of December next. The bridge will cost about fifty thousand dollars, and we have most of the funds in hand to meet the expenditm'e. In pursuance of a resolution passed at your last annual meeting, the Board of Directors made a temporary loan of twenty-five thousand dollars for the pmpose of completing the round house, building a new car shed at Raleigh, and a passenger shed at Weldon. The car shed at Raleigh has 8 "been finished and in use some time. The round house is about completed; and the shed at Weldon, we deemed ad-visable not to commence as the other roads terminating at that point had in contemplation the building of a new union passenger shed, better adapted to yom' wants than the old one. The new car shed and round house at Ealeigh will cost about twenty-seven thousand dollars and will be the best of the kind in the Southern States. The satisfactory results of the past year is largely due to the close attention, energy and fidelity of the officers and em-ployees of the Company who deserve commendation. EespectfuUy, W. J. Sie: I have the honor to submit my Annual Report of the operations of this Company for the year ending May 31st, 1870: The earnings from all sources have been . $313,112 61 as follows: From Freights, _ - . - $221,088 02 " Passengers, - - - 83,482 83 " Mails, ----- 7,169 29 " Sundries, - - - 1,372 47 $313,112 61 The operating expenses for the year have been - - $196,584 90 Re-rolling Iron, &c., - - 15,472 39 Cost of Engine Roanoke and freight, - - - - 13,183 70 225,240 99 Balance, .- - - - - $ 87,871 62 being nearly six per cent, on the Capital Stock of the Com-pany. The increase of receipts over the year 1869 has been $64,994 51. THE EOAD BED AND TEACK Have been kept in good order and are vastly improved not-withstanding the hea\^ tonnage. We have used in repair of 10 tiac'k nearly thirteen miles of new T rails, fifty pounds to the yard, most of it between Warrenton and Kittrells. We have used on the whole line about fifty thousand cross-ties. We have removed nearly all the defective rails in the road, and replaced them with the good iron taken up. We propose and are now changing the old lip chair for the sleeve pat-tern. This will add greatly to the safety of the trains and lessen the cost of repairs. The road was pretty well ditched and drained last summer and fall. We are now at that work draining and ballasting. We have, however, very poor ma-terial on the line of our road for this pm-pose. We will re-quire during the coming year from foiu' hundred to five hun-dred tons of new rails. The old iron will pay about half the cost of the new. OUR BRIDGES ARE ALL LN SAFE CONDITION. We are re-building Tar River bridge, eight hundred and fifty feet, and it is advisable to re-build all the lattice bridges with the Howe Truss or some other improved plan, from time to time, as they may require it, and not repair them. The Tar Eiver bridge will be a Howe Truss decked bridge. (The old bridge, a thiee chord lattice track on middle chord.) We will have to lower the piers some ten or twelve feet and change the abutments. This will l)e cheaper than to raise the embankments. BUILDINGS. We have enlarged the ware-house and built a large coach shed at Ealeigh, two hundred and twenty-five by forty-two feet, moved the depot at Gaston to a more eligible site, re-built ware-house and wood-house at that point. The depots, tanks and buildings of the Company are now in excellent condition. The round house so long tmd so much needed, I am happy to say, will soon be completed. It will be a splendid structure and add much to the protection of the Company's property and comfort of the men. SHOPS AND TOOLS Are in good condition ; we have added some valuable ma-chinery, including one of "Seller's" large wheel lathes. Ad- 11 ditioDal machinery to the amoiiut of thirty-six hundred dol-lars is desirable as soon as the Company can find it conveni-ent to purchase the same. Oiu' motive power and rolling stock are in very good order as will appear by reference to our Master Mechanic's table. Engine Eoanoke, one of Bogers' best, commenced running May 17th. Our stock of cars consists of six first class pas-senger cars, five second class, foiu^ mail and baggage, sixtj^- niue box-cars, thirty-fom- flat-cars and ten gravel-cars, and we are adduig and will add largely to om- box-car equipment the coming year to meet the demands. We are building in our own shops all the cars we use. The trains have run ^\ith the greatest regularity. We have been running since the first of January three daily trains, one with the mail and passengers, one through freight and the other an accommodation train for local fieights—all three trains have accommodations for passengers. January 13th, engine Eoyster, on through freight train, collided near Summit with the engine Franklin, on material train, caused by the engineers' watch on Franklin being too slow, damage comparatively slight. The tables appended will show the number of way and through passengers, the mileage and tonage and the month-ly receipts at the several stations. My assistants deserve something more than a mere com-pliment. Their fidelity to the Company's interests has been commendable. From them I have received valuable aid. The Committee of Finance and Inspection, report, tliat the Financial condition of the Company is correctly set forth in the reports of the Treasurer, and the statement of accounts appended thereto. From these it appears that the receipts of the Company were largely increased during the last year. It is however a matter of I'egret that while this increase was made in the receipts, a large increase was also made in the exj^enditures. Your Committee have examined into this matter and find that there was required a very large outlay and increased ex-penditures on account of the peculiar position in which we were placed in regard to the increased fi^eight passing over the road. More trains were required and at greater speed, and larger expense, and by reference to the report it will appear that a large amount of this increased expense was incurred in permanent impro^'emeut to the Eoadway and Machinery and other property of the Company. The Roadway is in good order. Much new iron has been laid and the track made perfectly secure. Xew cross-ties have been put in where needed and the necessary ditching is being done. The Bridges are all in thorough repair, except the one over Tar Elver which is being rapidly rebuilt. The Depots are all in good order. The completion of the Car Shed at Ealeigh affords suffi-cient room for shelter for all the trains of the Company. The Eouud-house wiU be soon completed and is a magnifi-cent structure. We would respectfully suggest that the President and Directors should make immediate provision for a bountiful 47 supply of water at some couveiiient point near the Shops and Sheds at Ealeigh, to be used in case of Fire. The Machine Shops are in first rate order and well man-aged. The peculiar position which the Ealeigh & Gaston Eail Eoad occupies renders it necessary that extraordinary exer-tions and diligence should be used on the part of the ofiicers in order to compete successfully with the different rival lines of Eailroad. By reference to the tables accompanying the reports, it will appear that great credit is due to the officers of this Company for the fortunate arrangements made and the pru-dent management of the affairs ol the Company for the last year. PROCEEDINGS.
The Tvveutieth Annual Meeting of tlie Stockholders of
the Ealeigh & Gaston Eaikoad Company, was held in the
Hall of the Company's ofiice, in Ealeigh, on Thursday, the
21st July, 1870.
On motion of Dr. AV. J. Hawkins, the meeting was called
to order by the appointment of Hon. D. M. Barringer, Pres-dent,
and W. W. Yass and Eufus S. Tucker, Secretaries.
On motion of Jos. B. Batchelor, Esq., Messrs. T. B. Ven-able,
Thos. White and W. AV. Vass, w^ere appointed a com-mittee
to verify proxies, and ascertain the amount of stock
represented—who subsequently reported as follows :

A majority of the w^hole capital stock of the Company be-ing
represented, as reported, the Chairman announced that
the meeting was regularly organized.
Dr. W. J. Hawkins, President of the Eoad, read the an-nual
report of the President and Board of Directors, and
Geo. W. Mordecai, Esq., read the report of the Treasm-er.
On niotion, the reports of the President and Treasm-er
were referred, under the rules, to a committee consisting, by
appointment of the Chairman, of Messrs. Kemp P. Battle,
and W. W. Ohamberlaine, who subsequently reported, that
they had examined the same, and recommended their adop-tion.
Whereupon, on motion, the reports were received and
adopted by the meeting.
Maj. T. B. Tenable read the Annual report of the Com-mittee
on Finance and Inspection, which on motion of K^
P. Battle, was adopted.

Resolved, That the Dkectors be instructed to enquire into tlie expedi-ency
of establishing other depots on the hne of the road, so as to oflFer
greater facilities for the transportation of produce and other commodi-ties,
and report to the next annual meeting of the Stockholders.
ByHon.W.H. Battle:
Resolved, That on or before 9 o'clock of the day appointed for the an-nual
meeting of the Stockholders of this Company, every Stockholder
who intends to be present in person, or as proxy for another, be request-ed
to notify the Secretaiy of such intention, and that a committee of two
be appointed at the preceding annual meeting, to verify the proxies.
Adopted, and the Chau-inan appointed W. W. Vass and
A. M. McPheeters on the Committee to verify proxies at
the next annual meeting.

Gentlemen : We submit for jonv consideration and ap-proval
our Twentieth Annual Eeport, with the reports of
the kSuperintendent, Treasurer, Auditor and Master Mechan-ic,
showing the operations of the Oompan}' in detail for the
fiscal year ending the 31st of May last.

Out of which the Board of Directors declared a dividend of
live per cent, payable on the 15th day of July.
The business and receipts of the Company especially from
passengers, since the completion of the through line to Au-gusta,
have not been so large as we hoped or anticipated.
With the co-operation, however, of the North Carohna Eail
Eoad and the Charlotte, Columbia and Augusta Eail Eoad,
we will be able to command a considerable portion of the
freights, from prominent points in South Carolina : yours,
the " Seaboard Inland Air-Line," being the best and quick-est
outlet for them. The roads, west of Columbia, should
be tributary to and a part of this inland air-line, and we hope
to make them so.
The completion of the Chatham Road to Haywood, some
thirty miles, is already adding considerable to yom: business,
and when completed to and connection made with Fayette-
\'ille, and the Coalfields, you may expect a large mcrease
from the transportation of coal, copper and naval stores.
The opening and working of the coal and copper shafts
uuist give you a large tonnage, and will require a considerable
outlay for coal cars, and equipment to meet it. We desire to
haul inward for the farmers along your line a ton of marl
from the marl beds of Virginia for every ton of coal taken
out, in that way reduce the cost of transportation, increase
your profits and enrich all the lands within fifteen miles of
your load.
The tide of emigration is slowly but sm-ely setting South.
You already have many new settlers on the line of the road,
with cheap and quick transportation, cheap and permament
fertilizers, a good soil, the best climate and the best water
on the continent, and within a few hours' ride of Baltimore,
Philadelphia and New York, your prosperty must be onward.
You should offer and hold out the most liberal inducements
to settlers and to manufacturing of every kind.
Your road-bed and track are in much better condition than
last year, some thirteen miles of new T rails, fifty lbs. to the
yard, having been used in repairs. Yom' engine and car
equipment is in good concUtion, one new engine, the Roanoke,
having been added to the list.
The re-building of the Tar River bridge, eight hundred
and fifty feet, has commenced, to be completed by the first
of December next. The bridge will cost about fifty thousand
dollars, and we have most of the funds in hand to meet the
expenditm'e.
In pursuance of a resolution passed at your last annual
meeting, the Board of Directors made a temporary loan of
twenty-five thousand dollars for the pmpose of completing
the round house, building a new car shed at Raleigh, and a
passenger shed at Weldon. The car shed at Raleigh has

"been finished and in use some time. The round house is
about completed; and the shed at Weldon, we deemed ad-visable
not to commence as the other roads terminating at
that point had in contemplation the building of a new union
passenger shed, better adapted to yom' wants than the old
one. The new car shed and round house at Ealeigh will cost
about twenty-seven thousand dollars and will be the best of
the kind in the Southern States.
The satisfactory results of the past year is largely due to
the close attention, energy and fidelity of the officers and em-ployees
of the Company who deserve commendation.

the operations of this Company for the year ending May
31st, 1870:

The increase of receipts over the year 1869 has
been $64,994 51.
THE EOAD BED AND TEACK
Have been kept in good order and are vastly improved not-withstanding
the hea\^ tonnage. We have used in repair of

tiac'k nearly thirteen miles of new T rails, fifty pounds to the
yard, most of it between Warrenton and Kittrells. We have
used on the whole line about fifty thousand cross-ties. We
have removed nearly all the defective rails in the road, and
replaced them with the good iron taken up. We propose
and are now changing the old lip chair for the sleeve pat-tern.
This will add greatly to the safety of the trains and
lessen the cost of repairs. The road was pretty well ditched
and drained last summer and fall. We are now at that work
draining and ballasting. We have, however, very poor ma-terial
on the line of our road for this pm-pose. We will re-quire
during the coming year from foiu' hundred to five hun-dred
tons of new rails. The old iron will pay about half the
cost of the new.
OUR BRIDGES ARE ALL LN SAFE CONDITION.
We are re-building Tar River bridge, eight hundred and
fifty feet, and it is advisable to re-build all the lattice bridges
with the Howe Truss or some other improved plan, from
time to time, as they may require it, and not repair them.
The Tar Eiver bridge will be a Howe Truss decked bridge.
(The old bridge, a thiee chord lattice track on middle chord.)
We will have to lower the piers some ten or twelve feet and
change the abutments. This will l)e cheaper than to raise
the embankments.
BUILDINGS.
We have enlarged the ware-house and built a large coach
shed at Ealeigh, two hundred and twenty-five by forty-two
feet, moved the depot at Gaston to a more eligible site, re-built
ware-house and wood-house at that point. The depots,
tanks and buildings of the Company are now in excellent
condition. The round house so long tmd so much needed, I
am happy to say, will soon be completed. It will be a splendid
structure and add much to the protection of the Company's
property and comfort of the men.
SHOPS AND TOOLS
Are in good condition ; we have added some valuable ma-chinery,
including one of "Seller's" large wheel lathes. Ad-

ditioDal machinery to the amoiiut of thirty-six hundred dol-lars
is desirable as soon as the Company can find it conveni-ent
to purchase the same.
Oiu' motive power and rolling stock are in very good order
as will appear by reference to our Master Mechanic's table.
Engine Eoanoke, one of Bogers' best, commenced running
May 17th. Our stock of cars consists of six first class pas-senger
cars, five second class, foiu^ mail and baggage, sixtj^-
niue box-cars, thirty-fom- flat-cars and ten gravel-cars, and
we are adduig and will add largely to om- box-car equipment
the coming year to meet the demands. We are building in
our own shops all the cars we use.
The trains have run ^\ith the greatest regularity. We
have been running since the first of January three daily
trains, one with the mail and passengers, one through freight
and the other an accommodation train for local fieights—all
three trains have accommodations for passengers. January
13th, engine Eoyster, on through freight train, collided near
Summit with the engine Franklin, on material train, caused
by the engineers' watch on Franklin being too slow, damage
comparatively slight.
The tables appended will show the number of way and
through passengers, the mileage and tonage and the month-ly
receipts at the several stations.
My assistants deserve something more than a mere com-pliment.
Their fidelity to the Company's interests has been
commendable. From them I have received valuable aid. To
their energy, intelhgence and zeal, the successful operations
of the Company for the past year in a great measure is due.
