' PROCEEDINGS OF TUB TWENTY-SEVENTH ANNUAL MEETING OP THE STOCKHOLDMS OF THE W. & W. RAIL ROAD CO. The Stockholdhers of the Wilmington and Weldon Rail Road Com-pany, in pursuance of the Resolution adopted at their last Annual Meeting, convened at the office of the Company, in the Town of Wilmington, on Thursday, the 13th day of November, 1862, to hold their twenty-seventh Annual Meeting, when the following proceed-ings were had : On motion of S. D. Wallace 0. G. Parsley was called to the Chair, and L. H. DeRosset was appointed Secretaay. On motion, Mr. T. D. Walker, with the Secretary, were appointed a Committee to examine proxies and ascertain the number of shares of stock sepresentcd. This Committee reported that 4,021-^ shares of the Capital Stock of this Company were duly represented ; 1,341 shares in person,, and 2,680J in proxy, which not being a majority of said Cap-ital Stock, it was Resolved, That this meeting do adjourn to meet on the first Thursday in December next, at such place as the President may designate, and that due notice be given of time and place of such meeting, by adver-tisement in Wilmington Journal, and such other papers as the President may deem necessary. C, 4tu, December 1862. j The adjourned meeting of the Stockholders was c'onvened this 4th day of December, 1862, in the Court House, in Wilmington, N. 0., and at 11, A. M., the Chairman called the meeting to order. On motion of S. D. Wallace, Mr. P. Murphy and the Secretary were appointed a Committee to verify and ascertain the amount of stock represented. The Committee reported that 11,479 shares of the Capital Stock of the Company were represented, of which 1,464 were represented in person, and 10,013 by proxy, which being a majority of said stock, the meeting was declared duly organized. The minutes of the previous meeting werd read and approved. Mr. S. D, Wallace, President of the Company, submitted the Report of the President and Directors, with its accompanying Reports, all of which were, on motion, received and laid on the table. On motion of 0. G. Parsley, Resolved, That the Report, showing the passage of the persons and articles transported free during the past year,_ and by whose order they were transported, in accordance with a resolution adopted by the Stock-holders in their last Annual Meeting, be read. Col. S. L. Fremont, Superintendent, proceeded to read the Report, but while reading it, it was Resolved, That the further reading of the Report be discontinued, and that its result be printed in the pamphlet with the other proceed-ings of this meeting. On motion of A. J. DeRosset, Resolved, That a Committee of tliree Stockholders be appointed, to whom all the Reports which are presented at this meeting be referred, and that they be requested to report at three o'clock. Messrs. R, R. Bridgers, T. D. Walker, and E. Kidder were appointed said Committee. On motion of A. J. DeRosset, Resolved, That the meeting do adjourn 'till half-past 2 o'clock. Half-past 2, P. M. The meeting met according to adjournment. The Committee rendered a verbal Report of their actions on the Reports referred to them, but which, from want of time, had not been reduced to writing. It was desired that the Committee take further time, and render a written Report during the afternoom Mr. 0. G-. Parsley addressed the meeting on the privileges enjoyed by the Directors, and then submitted the following preamble and resolution: Whereas, The privileges heretofore extended to Directors of this Road was intended as an acknowledgment for valuable time devoted to, and services rendered by them, in guarding the interests of the Company, and whereas it operates unequally, therefore, be it Resolved, That from and after this date, no exclusive privilege of 13 free riding or free transportation shall be granted to any Director, or any member of the family of a Director, except in case any member of the Board may be required to pass over the road on business exclusively belonging to the Corporation ; and that in lieu of the privileges hereby withdrawn, each Director shall bo allowed per day for each day he may be in attendance at any meeting of the Board, or engaged in attending to its interests, by order of the Board. Mr. R. Bradley called for the vote by shares, when the vote being taken, the resolution was defeaited by 2,454 votes in favor of it, and 6,653 against it. On motion, the meeting then proceeded to the election of officers. Mr. S. D. Wallace was unanimously elected President, and the fol-lowing Stockholders members of the Board of Directors: Messrs. R. R. Bridgers, of Edgecombe, B. Flannor, P. K. Dickinson, A. J. DeRos-set, E. P. Hall, J. D. Bellamy, and E. Kidder, of Wilmington, on the . part of the individual Stockholders. Mr. 0. Gr. Parsley, proxy for the State, announced the following, on behalf of the State: Me^rs. G. W. Collier, of Wayne, W. W. Brickie, of Halifax, and W. A. Wright of Wilmington. The Committee on Reports presented the following : ' ' The Committee to whom was referred the Reports of the Presi- * dent and Superintendent, have had the same under consideration, ' and ask leave to report, that in their opinion the Board of Directors ' may make such investment of the funds of the Company, for the ' payment of liabilities, as they may consider proper. ' « That the Board of Directors shall be authorized at their discretion ' to make such reasonable compensation to the salaried officers of the ' Company, who have been in service for the past year, as they may * consider just ; in no case exceeding twenty-five per cent. ' ' They also recommend that the salary of the President be fixed at ' $3,000, and that of the Treasurer, ^2,200. "The tariff of freights and fares ought to be revised;^ both the ' expenses and receipts of the Company have been greatly increased ; * the dividends of the Company have. been large during the present ' year, but would have been much diminished if the Road and Rolling ' Stock had been kept in repair. There will be a large expenditure ' required hereafter for repairs, and it will be necessary to set aside * funds to meet them ; and that the Road ought to make such revision ' of freights and fares as they may consider necessary for that ' purpose." On motion, Resolved, That the several Annual Reports of the Company, together with a concise memoir of the same, be prepared and printed, and that each Stockholder be supplied with a copy, and that one thousand copies be deposited in the archives of the Company. On motion of T. D. Walker, Resolved, That Patrick Murphy, John C. Latta, and John D, Love, be appointed a Committee to audit the accounts of the Company for the ensuing year. On motion. Resolved, That Messrs Wm. A. Wright, P. Murphy and L. H. DeRosset be appointed a Committee to prepare the Reports and Pro-ceedings of this meeting for publication. On motion of T. D. In addition to the dividends made, the Board have declared another dividend of the profits of 11 per cent, on the Capital Stock of the Company, which will he payable on the 1st day of January next. This dividend will appear in the accounts to he submitted at your next annual assemblage. Sound policy dictates that a liberal sum should be invested in good securities as a provision for the payment of interest due and accruing on our English debt, and for the payment of the principal as it matures, a small portion of which is now past due. Both principal and interest on this liability would have been promptly paid but for the hazard of fowarding ex-change, one remittance having been made, which as yet is without acknowledgment. A like policy should provide the means to keep in good order and condition our Engines, Cars^ and Roadway, which, from constant and heavy service, have suffered much " wear and tear." We think such reserves bave been made, and that with the surplus of assetts remain-ing, the Company will be enabled to maintain its credit and make such improvements as our necessities may demand. Without a good road and proper equipment the sharehold-ers will realize comparatively small profits, while on the con-trary a road in good condition and well managed will attract patronage and prove a good investment. With proper dili-gence and true economy your road may continue in the future, as in the past, good property, notwithstanding the extreme difficulty in procuring supplies for the purposes indicated. — The fabulous prices which all Rail Road supplies command "will greatly increase the cost of repairs and transportation the coming year. To meet this condition of things we should keep pace, and advance the rates of fare and tariff of freights, so as to produce proper compensation for service rendered. We have fortunately thus far been exempt from the incur-sions and depredations of the enemy. We cannot expect this good fortune to continue, and should prepare, so far as possi-ble, for their visitations. To meet such emergencies shops have been erected at Magnolia of sufficient capacity to accom-modate our repairs, and machinery to accomplish that purpose has been supplied and will soon be in operation. It will bo soon by comparing this statement witU the one for 1861, chat there has been an increase of exj^enses of more than $37,000. This increase has been in part due to the largely increased operations in the transportation department, and to the greatly enhanced value of every article of supply, (as provisions, clothing, oil, grease, iron, labor, &c.,) used in operating. Yet while the gross receipts have been $965,- 750—the entire expenses have been but $299,295—leaving a net in-come of $600. 45o—a suin much irreator than the cross roceiT)TS for 1861. K'-iCIPHENC, KEPAIU SHOPS, Ikc While we ha\'e performed a very large amount of tiansportatiuu for the Government and individuals, it has been done with the machinery of the Company almost entirely. The Government has not supplied the Eoad with a Car or an Engine from the great number captured, and with which some of our neighbors in the State have been considerably aided. The rent of one Engine from the Atlantic & N. C. E. E., for three months, and one from the Seaboard road for one month, is the sum of all the assistance this Eoad has received in rolling stock from abroad. We now recjuire two good Locomotive Engines and at least twenty-five-freight cars (box) and twenty flat cars. We have twenty box cars in course of coustructiou, (about half completed,) and we could in a short time supply the flat cars at our own shops, if w# could obtain the wheels, axels and springs. I think, however, we shall be able to maintain the transDortatiou department in efficient condition if v.-c -Mn vd-ocur? the locomotives we need. Our machinery has suffered muchni the last sixty days (prior to the date of this report) from our inability to make any but the most pressingly necessary repairs, for want of mechanical force, consccpent upon the destructive epidemic that has recently pre-, vailed here. , .:,',. - , "- We have purchased during the' year thirteen box freight cars from' other roads, nearly new, which gives us about 100 box cars in fair or-^ der. n-^d ^'- hnvo 2:" flat cars in srood order. We have ten passenger and aseven freight Engines in service and undergoing repair, besides six old Jlngines laid up, but some of them may be repaired or rebuilt. Our repair shops arc in good order for general repairs, with prompt-ness and dispatch, vrhenever the present epidemic shall cease and enable us to again employ a full mechanical force, which I propose to do the moment it is possible. The track has Ijcen maintained in good order so far as safety is con-cerned during the fiscal year, by the addition of about 500 tons of new Bails and about 70,000 new cross-ties. Of masonry are much needed at many points on the road, and .should te constructed as soon as the condition of the country will justify permanent improvements. liUIDGJOS. The Bridges are in good order, and with ^uch cuUetant and regular repairs as we are year by year making, I do not apprehend any new work of importance in this department of the lioad—unless the public enemy should unfortunately be able to destroy one or more of our pres-ent bridges. In anticipation of this possible contingcnc}-, I have, with the approval of your predecessor, had the necessary lumber sawed and ether materials got ready for about four hundred feet of Bridge, to be flsed whenever it may be needed. I ask your attention to the subject of a liberal fund for repairs and renewals when the present war shall terminate, or sooner, if it be practicable to make them, and for this pur-pose, not less than ^100,000 should be set aside this year as a '• Fcneical Fund.'' Steps should also be immediately taken to supply at least two good Engines and a large nunilier of wheels and axles to maintain our rolling stock in running order.
